Términos y condiciones de los servicios WeKall

¡Bienvenido a WeKall, Servicio de telefonía empresarial (Conmutador) administrada en la nube!

Gracias por utilizar nuestros productos y servicios de la línea WeKall. Los Servicios son proporcionados por WEKALL S.A.S. BIC (en adelante “WEKALL”) una sociedad por acciones simplificada constituida conforme a las leyes de la República de Colombia identificada con el NIT.901.112.254-3, con domicilio principal en la ciudad de Cali, Valle, Colombia.

Mediante la aprobación y firma electrónica del 'Service Order Form' (en adelante el “SOF”) de servicios WeKall, usted está aceptando estas condiciones. Por favor, léalas detenidamente.

1 SERVICIO(S) A CONTRATAR.

Con la firma de la respectiva 'Order of Service Form' (SOF), El CLIENTE ha decidido contratar con WEKALL el licenciamiento del software como servicio de Telefonía IP Empresarial en la Nube “WeKall”. El SOF será parte integral de los presentes términos y condiciones.

2 OBJETO.

El objeto de los servicios contratados consiste en el licenciamiento del software como servicio de Telefonía IP Empresarial en la Nube “WeKall”, que para efectos de estas condiciones se denominará LA SOLUCIÓN, servicios que se prestarán de conformidad con las condiciones establecidas en el numeral “3” de estas condiciones, y servicio de soporte técnico sobre la plataforma WeKall, de conformidad con las condiciones establecidas en el SOF. El servicio de soporte será prestado de conformidad a lo establecido en estas condiciones (Ver numeral 10).

Los servicios de WeKall podrán ser prestados y/o integrados con líneas telefónicas fijas (Troncales SIP) que serán provistas por un tercero proveedor de telefonía local y nacional que en adelante se denominará “tercero/proveedor”.

PARÁGRAFO: Alternativa línea telefónica local y nacional. Si el CLIENTE elige la alternativa de contratar el servicio con línea telefónica local y nacional se aplicaran las políticas de uso justo entre las cuales se encuentran las siguientes: i) No podrán cursar más de 12.000 minutos en promedio mes de salida de llamadas a la red pública en el plan ilimitado; ii) El promedio de llamadas entrantes al mes desde la red pública debe ser de 4 llamadas por cada 20 extensiones en el plan de consumo ilimitado; iii) Los usuarios de contact center o call center deberán comprar planes de WeKall Contact Center ilimitado; y iv) Las empresas de BPO, Call Center, Mercadeo o afines, no podrán usar consumo ilimitado para sus agentes, solo podrá ser usado por personal administrativo.

3 ALCANCE.

El alcance del servicio será el establecido en el objeto del presente contrato y en las siguientes condiciones::

3.1 LA SOLUCIÓN:

El alcance del servicio WeKall, entendido como una solución tipo SaaS de PBX en la nube, será el establecido para el plan de servicio escogido por el CLIENTE y contratado con la firma del respectivo SOF, donde se disponen las condiciones y características del servicios que incluye el plan elegido por el cliente y aquellas adicionales adquiridas por este último. Los planes de servicio vigentes se encuentran disponibles en la página web www.wekall.co. En cualquier caso prevalecerán las condiciones establecidas en el SOF suscrito o a suscribir por el CLIENTE.  

3.2 USOS DEL SERVICIO: RESPONSABILIDADES DEL CLIENTE.

Salvo términos de duración específicos a determinadas condiciones, obligaciones o responsabilidades, durante la vigencia del servicio, EL CLIENTE se obliga a: 3.2.1. El CLIENTE asumirá la responsabilidad total de la precisión, calidad, integridad y legalidad de sus datos y de los medios por los cuales adquirió sus datos; 3.2.2. Utilizará esfuerzos razonables, desde el punto de vista técnico, administrativo y comercial, para evitar el acceso o el uso no autorizado; 3.2.3. De Igual manera EL CLIENTE SE ABSTENDRÁ DE: 3.2.3.1 Poner los servicios a disposición de cualquier persona que no sea autorizada por EL CLIENTE; 3.2.3.2 Vender, revender, alquilar o arrendar los servicios contratados; 3.2.3.3. Utilizar los servicios para guardar o transmitir materiales que constituyan violaciones o difamaciones ni cualquier otro tipo de material ilegal o injurioso, ni guardará ni transmitirá materiales que violen derechos de privacidad de terceros, 3.2.3.4. Utilizar los servicios para guardar o transmitir código malicioso; ni 3.2.3.5. intentar obtener acceso no autorizado a los servicios o sus sistemas o redes relacionados a la administración de LA SOLUCIÓN a cargo de WEKALL; 3.2.4. EL CLIENTE acuerda no usar ni permitir el uso de los servicios contratados, incluso mediante carga, envío por correo electrónico, publicación, anuncio o transmisión por otra vía, de cualquier material, entre ellos su contenido, sus aplicaciones y contenido de terceros, para cualquier finalidad que 3.2.4.1. implique una amenaza o acoso a cualquier persona o cause daños o lesiones a personas o bienes; 3.2.4.2. implique la publicación de material falso, difamatorio, acosador u obsceno; 3.2.4.3 viole los derechos de privacidad o promueva la intolerancia y el racismo; 3.2.4.4. constituya correo electrónico masivo no solicitado, correo “basura” (“junk mail”), correo "no deseado” (“spam”) o mensajes en cadena; 3.2.4.5. constituya una violación de derechos de propiedad intelectual u otros derechos propietarios; o 3.2.4.6. de cualquier forma, que viole las leyes, decretos o reglamentos aplicables; 3.2.5. Es responsabilidad exclusiva de EL CLIENTE el buen manejo de la base de datos y su operación; 3.2.6. El uso por parte de EL CLIENTE de LA SOLUCIÓN WeKall está sujeto a limitaciones descritas en las presentes condiciones en cuanto al número de Usuarios o Extensiones autorizados a utilizar LA SOLUCIÓN: 3.2.6.1. dependiendo del número de Usuarios contratados por EL CLIENTE, se limita el número de usuarios (Extensiones) y los inicios de sesión correspondientes a la cantidad especificada en el mismo; 3.2.6.2. las credenciales de inicio de sesión de un Usuario pueden ser utilizadas únicamente por el Usuario designado por EL CLIENTE hasta que su cuenta sea eliminada; y 3.2.6.3. el inicio de sesión de una cuenta del Usuario puede reasignarse a una nueva persona solo cuando se reemplaza a un Usuario previamente autorizado que ya no usará LA SOLUCIÓN. El CLIENTE puede designar como Usuarios únicamente a personas sobre las que tiene control suficiente (contractual o de otro tipo) para garantizar el cumplimiento de estos Términos, como empleados, consultores y contratistas, siempre y cuando estén logueados con el mismo dominio; 3.2.7. El CLIENTE será responsable de garantizar la conexión a Internet en cualquier hardware y software utilizados en relación con LA SOLUCIÓN y todas las configuraciones relacionadas (Colectivamente denominados “Ambiente”) cumplan con los estándares mínimos y los requerimientos técnicos establecidos por WEKALL; 3.2.8. El CLIENTE acepta: 3.2.8.1 otorgar acceso al personal de WEKALL en las instalaciones físicas y otros recursos remotos de EL CLIENTE Y bajo su control, siempre con previa notificación y acompañamiento de personal de TI EL CLIENTE, ya que WEKALL puede solicitarlo razonablemente para cumplir con sus obligaciones derivadas de LA SOLUCIÓN contratada; 3.2.8.2. hacer bajo su propia responsabilidad y costo cualquier ajuste al Ambiente de EL CLIENTE que WEKALL encuentre razonablemente necesario para satisfacer los requerimientos técnicos mínimos establecidos por WEKALL para la prestación del servicio de la SOLUCIÓN; 3.2.9. El CLIENTE podrá hacer uso de LA SOLUCIÓN únicamente para dispositivos homologados y establecidos en los Requerimientos técnicos dispuestos por WEKALL. Para un correcto funcionamiento del Servicio WeKall, EL CLIENTE deberá y será de su cargo contar con servicio de internet de carga y descarga que asegure las siguientes condiciones: 3.2.9.1. Velocidad mínima de 80Kbps para una llamada de audio y 512Kbps para una llamada de video, 3.2.9.2. Latencia para audio o video como máximo de 120ms, y 3.2.9.3. Pérdida de paquetes inferior al 5%; 3.2.10. EL CLIENTE reconoce y entiende que la calidad de la llamada depende no solo de la especificación y disponibilidad del servicio, sino también de la red de telecomunicaciones a la que están conectadas las otras partes; 3.2.11. El CLIENTE solo podrá asignar una (1) extensión por usuario, salvo que dicha extensión sea usada con un mismo teléfono IP por diferentes usuarios o mediante las funcionalidades ofrecidas por LA SOLUCIÓN (Ejemplo: Huntgroup). El incumplimiento de esta condición facultará a WEKALL para cobrar retroactivamente los cargos mensuales por cada extensión adicional que sería aplicable al nuevo usuario asignado, cargos que deberán ser asumidos y pagados por EL CLIENTE con el respectivo pago aplicable de conformidad con los numerales 6 y 7 de estos términos y condiciones. 3.2.12. EL CLIENTE se compromete a pagar el valor de la SOLUCIÓN en la fecha y en las condiciones acordadas en el SOF; 3.2.13. Tomar medidas preventivas usuales en la actividad de computación y para la prestación del servicio contratado, con el fin de evitar que eventualmente se produzcan fallas que le causen cualquier tipo de falla en el servicio que presta WEKALL; 3.2.14. Garantizar la disponibilidad de espacio físico, así como del personal requerido en todas las etapas del proceso de implementación y capacitación de acuerdo con la metodología de implementación; 3.2.15. Ejecutar las tareas que le han sido asignadas dentro del plan de trabajo del proyecto; 3.2.16 Suministrar los datos requeridos por WEKALL estipulados en el acta de inicio del proyecto (Kickoff), la cual hace parte integral de los presentes términos y condiciones, siempre que haya lugar a la firma de la misma.

LAS PARTES aceptan y declaran, que toda su información confidencial, es de propiedad exclusiva de cada una de ellas y que ha sido o será revelada únicamente con el propósito de permitir el cabal cumplimiento de las obligaciones derivadas de el/los servicio(s) contratado(s) por EL CLIENTE, razón por la cual cualquier información suministrada, previa a la aceptación de estas condiciones, se considera información confidencial y estará sujeta a los términos de esta. Asimismo, de conformidad con lo señalado en esta cláusula LAS PARTES se obligan a: A) No poner al alcance de ningún tercero o divulgar la información confidencial que se le confiera en razón de la confianza y del desarrollo de el/los servicio(s) contratado(s) por EL CLIENTE; B) No utilizar la información confidencial en forma directa o a través de terceros, en asuntos, negocios y/o actividades de cualquier tipo, distintas a aquellas acordadas y/o previamente autorizados por la parte propietaria de la información  mediante documento escrito firmado por el Representante Legal; C) No editar, copiar, compilar o reproducir por cualquier medio la información confidencial; salvo aquella que haya sido autorizada por estas condiciones o sea objeto de las mismas; D) Devolver al momento de la terminación de cada servicio contratada a la otra parte, toda la información confidencial que tenga en su poder correspondiente al servicio que se deja de prestar, en especial pero sin limitarse a los conceptos técnicos, valoraciones, resultados de diagnóstico o conclusiones que se realicen, ya sea en documentos escritos, medios magnéticos o en cualquier otro medio e igualmente retirarlos completamente de los equipos de propiedad de su propiedad o  de sus empleados, salvo aquella que haya sido autorizada por estas condiciones o sea objeto de las mismas; E) Emplear al menos, el mismo estándar de cuidado para mantener la confidencialidad de la información de propiedad de la otra parte, que la empleada para mantener la confidencialidad de su propia información de igual importancia; F) Las obligaciones de no divulgación de la respectiva propuesta comercial y sus anexos se mantendrán en vigor en lo que respecta a la información confidencial por un periodo de cinco (5) años posteriores a la terminación de los servicios objeto de la misma; G) Si alguna de las partes incumpliera esta obligación, incurrirá de esta manera en las sanciones civiles y penales correspondientes por violación del secreto profesional y comercial, y asumirá la responsabilidad por la totalidad de los daños, perjuicios, gastos y costos que genere el mal o inadecuado manejo de la información confidencial o la violación de las obligaciones de reserva y confidencialidad establecidos en el presente documento al margen de que la parte propietaria de la información podrá cobrar la cláusula penal, incluso de manera periódica y sucesiva, por cada acto individual de trasgresión a la confidencialidad de la información antes referida o por la continuidad de un mismo acto.

3.3 PRESTACIÓN DEL SERVICIO: RESPONSABILIDADES DE WEKALL:

Una vez finalizado el proceso de implementación del servicio, WEKALL se obliga a: 3.3.1. Prestar el servicio de conformidad con el objeto de este contrato; 3.3.2. ofrecer soporte técnico remoto para los servicios adquiridos conforme a lo establecido en el numeral 10 de estas condiciones; 3.3.3. utilizará todos los esfuerzos razonables desde el punto de vista técnico para poner los servicios WeKall adquiridos a disposición de EL CLIENTE con una disponibilidad mínima de 99.5% o superior si así consta en el SOF, que no sea durante el mantenimiento y reparación programados, y para minimizar la pérdida de datos en las comunicaciones de EL CLIENTE, excepto: 3.3.3.1. Cualquier indisponibilidad provocada por circunstancias más allá de su control razonable, incluyendo sin limitarse a ellos, caso fortuito o fuerzas mayor, acciones gubernamentales, inundaciones, incendios, terremotos, malestar social, actos de terrorismo, huelgas u otro problemas laborales que no sean aquellos que involucran a sus empleados, daños causados por EL CLIENTE y/o sus usuarios, fallas o demoras del proveedor del servicio de Internet de EL CLIENTE, Amazon Inc., y 3.3.3.2 Cualquier indisponibilidad por fallas imprevisibles en el servicio del tercero/proveedor de telefonía local y nacional elegido por WEKALL; 3.3.4. Entregar las funcionalidades técnicas de acuerdo con la SOLUCIÓN contratada; 3.3.5. El CLIENTE podrá elegir y contratar en el SOF un plan que incluya grabaciones de llamadas de conformidad con las siguientes condiciones: 3.3.5.1. WEKALL elegirá al tercero/proveedor de almacenamiento en la nube conforme a lo establecido en el numeral 3.6 de estos términos y condiciones; 3.3.5.2. Las grabaciones serán almacenadas en el servidor en la nube del tercero/proveedor durante el término establecido en el objeto de este contrato; 3.3.5.3. Una vez vencido el término de almacenamiento contratado, WEKALL entregará las grabaciones a EL CLIENTE siempre que éste las llegare a solicitar por escrito a no mas tardar dentro de los diez (10) días siguientes a la terminación del término de almacenamiento, o de lo contrario, las grabaciones serán eliminadas automáticamente. En caso que las grabaciones sean solicitadas, una vez sean entregadas a EL CLIENTE, WEKALL procederá con la eliminación de la totalidad de las mismas; 3.3.6. WEKALL le entrega a El CLIENTE el uso de los Servicios WeKall a través de los dispositivos homologados y/o certificados que consten en la matriz de compatibilidad disponible en los requerimientos técnicos establecidos por WEKALL; 3.3.7. Las comunicaciones basadas en IP tienen limitaciones inherentes en relación con los métodos de comunicación tradicional bien sea analógica u otra. Si bien Wekall se diseñó para abordar y gestionar estas limitaciones, WEKALL no puede garantizar que todas las comunicaciones transmitidas hacia o desde la plataforma Wekall (incluida voz, Fax, y Mensajes de texto) se entregarán sin pérdida de datos parcial o en absoluto. 3.3.8. Monitoreo constante de la plataforma 7x24 (Core) y validación de la operación de servicio para entregar la disponibilidad ofrecida a EL CLIENTE del 99.5%; 3.3.9. Si EL CLIENTE y/o un tercero realizan mediante programas desarrollados al interior de la organización o mediante cualquier mecanismo técnico, modificaciones a LA SOLUCIÓN, WEKALL deja de ser responsable del buen funcionamiento de LA SOLUCIÓN, a no ser que WEKALL haya verificado y aprobado ese desarrollo. Cuando se realizan modificaciones a LA SOLUCIÓN como resultado de un caso de soporte y estas modificaciones quedan por escrito originadas en personal del área de soporte de WEKALL, no son consideradas como desarrollos al interior por lo tanto esta cláusula no aplica. Si EL CLIENTE requiere desarrollar algún tipo de componente de software que se integre con LA SOLUCIÓN, se deberá hacer a través de un integrador que no interfiera con LA SOLUCIÓN y se solicitará información a WEKALL para este desarrollo.

3.4 SEGURIDAD DE LA INFORMACIÓN Y CIBERSEGURIDAD.

22 MODIFICACIONES.

Teniendo en cuenta que toda la información de EL CLIENTE es uno de sus activos más importantes, WEKALL se sujetará a las siguientes obligaciones: 3.4.1. WEKALL será responsable de establecer y mantener un programa de seguridad de la información, incluyendo seguridad de elementos físicos, digitales, virtuales, ciberespacio independiente de su tránsito y/o ubicación, el cual debe estar diseñado para: 3.4.1.1. Garantizar la protección, la integralidad, disponibilidad y confidencialidad de toda la información a la que se tenga acceso con ocasión del presente contrato y de acuerdo con su nivel de sensibilidad. 3.4.1.2 Proteger de manera anticipada contra amenazas y/o riesgos que puedan llegar a afectar la información a la que se tenga acceso con ocasión del servicio contratado, 3.4.1.3 Proteger contra el acceso o uso no autorizados de la Información Confidencial o clasificada como datos personales según la ley 1581 de 2012 o norma que la reemplace, modifique o complemente, 3.4.1.4 Garantizar que toda la información sea tratada conforme a los estándares de seguridad aplicables. WEKALL deberá desarrollar procedimientos para gestionar cualquier incidente de acceso no autorizado y/o violación que amenace la seguridad de la Información confidencial de EL CLIENTE y/o datos personales según la ley 1581 de 2012 o norma que la reemplace, modifique o complemente y lo notificará de manera inmediata y oportuna al conocimiento del mismo, 3.4.1.5 WEKALL podrá modificar sus procedimientos de seguridad de la información incluyendo seguridad física, en cualquier momento durante la vigencia del contrato, de conformidad con las normas aplicables y buenas prácticas de seguridad de la información, siempre y cuando se cumplan las condiciones definidas con EL CLIENTE;  3.4.2.  Contar con dispositivos y herramientas de seguridad idóneos que protejan sus redes e infraestructura tecnológica; 3.4.3. Establecer controles, herramientas y/o mecanismos para el borrado seguro y destrucción de la información conforme a las mejores prácticas de la industria y procedimientos y mecanismos para la devolución y entrega a EL CLIENTE de toda la información a la que tuvo acceso durante la vigencia del servicio contratado; 3.4.4 Para los contratos que dentro de la prestación de su servicio reciban, almacenen, procesen, entreguen o trasmitan datos personales conforme a lo estipulado en la Ley 1581 de 2012 y demás decretos reglamentarios, o norma que la reemplace, modifique o complemente, WEKALL declara conocer, aceptar y cumplir la regulación en materia de datos personales y mantener durante la vigencia del contrato las medidas de seguridad y protección requeridas por los entes de control respectivos y la normatividad legal vigente aplicable; 3.4.5. WEKALL se compromete con EL CLIENTE a disponer de un plan y continuidad debidamente documentado sobre la prestación del servicio para el cual fue contratado. WEKALL se compromete con EL CLIENTE a implementar procesos de pruebas periódicas a los planes de continuidad; 3.4.6. WEKALL se obliga a dar inmediato aviso a EL CLIENTE, sobre la ocurrencia de cualquier evento o circunstancia que altere el normal desarrollo y/o ejecución del servicio contratado. WEKALL se obliga a establecer procedimientos, responsabilidades y medidas para informar a EL CLIENTE de manera efectiva y oportuna, sobre los cambios, alteraciones o modificaciones que se realicen a la información o a los elementos involucrados en el desarrollo del presente contrato, sin la autorización correspondiente. Igualmente, WEKALL se compromete a tomar los correctivos necesarios de manera inmediata cuando se detecte una alteración o manipulación no autorizada; 3.4.7. Durante la vigencia del servicio contratado WEKALL se compromete a custodiar la base o bases de datos entregada a tal título por EL CLIENTE y destinarla exclusivamente para la ejecución del presente objeto contractual. De igual manera, WEKALL deberá estar en capacidad de realizar encripción a la información que llegare a recibir por parte de El CLIENTE y que deba custodiar, siempre que el hardware o software utilizado por EL CLIENTE lo permita. En consonancia con lo anterior, WEKALL contará con herramientas de seguridad perimetral y herramientas que prevengan la pérdida de datos tendientes a evitar la fuga de información; 3.4.8. WEKALL deberá mantener controles de seguridad razonables y suficientes durante la ejecución de los servicios objeto del presente contrato. 3.4.9. Con la terminación del servicio contratado, cualquiera fuere su causa, WEKALL se compromete a devolver la base o las bases de datos con las condiciones de seguridad y entrega acordadas con EL CLIENTE. Asimismo, deberá destruir toda copia que hubiere creado para la prestación de los servicios contratados. 3.4.10. WEKALL ejecutará los procedimientos establecidos en las políticas de seguridad de la información implementadas por la empresa como componente principal de su acreditación y/o certificación en estándares de seguridad de la información ISO 27001.

3.5 REQUERIMIENTOS TÉCNICOS.

Los requerimientos técnicos para la prestación de los servicios de LA SOLUCIÓN contratada serán los descritos en la página web www.wekall.co y en el SOF: https://wekall.co/wp-content/uploads/2021/09/Requerimientos_tecnicos.pdf.

3.6 TERCEROS PROVEEDORES.

3.6.1. WEKALL puede ofrecer la implementación de los servicios WeKall contratados por EL CLIENTE con servicios telefonía local y nacional provistos por un tercero/proveedor de conformidad con un contrato de servicio separado entre EL CLIENTE y dicho tercero ("Servicios de terceros"); 3.6.2. WEKALL elegirá el tercero/proveedor para la prestación del servicio de telefonía local, nacional, internacional y celular que se integrará con WeKall, y el tercero/proveedor para el almacenamiento en la nube de grabaciones. De igual manera podrá cambiarlos o reemplazarlos en cualquier tiempo previa notificación por escrito a EL CLIENTE con un mínimo de tres (3) días de anticipación, siempre y cuando las condiciones ofrecidas por el nuevo tercero/proveedor de telefonía o de almacenamiento no desmejoren las condiciones y calidad de LA SOLUCIÓN contratada, y la misma numeración fija, salvo que EL CLIENTE acceda a cambiarla; 3.6.3. Los servicios contratados estarán sujetos también a los términos y condiciones establecidos por los terceros/proveedores. Siendo así, serán parte integrante de las presentes condiciones los contratos de adhesión, términos y condiciones de los terceros/proveedores; 3.6.4. El CLIENTE autoriza a WEKALL a facturar, cobrar y remitir al proveedor de servicios de terceros los importes imputables a los Servicios de terceros de acuerdo con los procedimientos aplicables a los Servicios. El CLIENTE reconoce que:  3.6.4.1.WEKALL no hace representaciones o garantías con respecto, y no tendrá responsabilidad alguna por los servicios de terceros; 3.6.4.2. WEKALL no se considerará un revendedor de los servicios de terceros; y 3.6.4.3. EL CLIENTE buscará únicamente ante el proveedor del servicio de terceros cualquier recurso relacionado con el mismo 3.6.5. EL CLIENTE mantendrá y administrará las líneas telefónicas PBX que actualmente son de su propiedad y tiene contratado con otros terceros proveedores diferentes a WEKALL, sin perjuicio de lo estipulado en la presente cláusula. En este sentido, EL CLIENTE es responsable de gestionar  el re-direccionamiento  de los números mencionados anteriormente a los DIDs provistos para la plataforma WeKall (La SOLUCIÓN).

3.7 VARIOS.

3.7.1. Si se llegaren a presentar problemas de funcionamiento en el Servicio WeKall contratado, WEKALL deberá dar acompañamiento para la solución de los mismos, de conformidad al alcance establecido en las presentes condiciones y en el SOF en cuanto al soporte técnico; 3.7.2. EL CLIENTE proveerá de manera oportuna acceso en el horario acordado y a todas las áreas que sean requeridas para la ejecución y realización de los trabajos objeto de LA SOLUCIÓN contratada (incluyendo acceso a centros de cómputo, acceso a la cuenta raíz del tercero/proveedor, etc.) siguiendo los procedimientos de seguridad dados por EL CLIENTE; 3.7.3. WEKALL hará los esfuerzos comercialmente razonables para realizar la Implementación de LA SOLUCIÓN contratada por el Cliente tan pronto como sea posible después de la firma del SOF por las partes y de acuerdo con las condiciones establecido en el mismo. Los servicios de implementación se proporcionarán de forma remota a menos que el plan elegido y contratado por el CLIENTE con el SOF prevea la implementación en el sitio; 3.7.4. WEKALL garantiza la encripción de los datos que sean transmitidos a través de LA SOLUCIÓN y de llevar a cabo todos los controles expresados en el Numeral 3.4 Seguridad De La Información Y Ciberseguridad. 3.7.5. EL CLIENTE RECONOCE QUE EL USO DE LA SOLUCIÓN CONTRATADA REQUIERE LA TRANSMISIÓN DE DATOS ELECTRÓNICOS A TRAVÉS DE INTERNET Y VARIAS OTRAS REDES QUE NO SON PROPIEDAD NI ESTÁN BAJO EL CONTROL DE WEKALL, Y QUE WEKALL NO PUEDEN GARANTIZAR QUE NO SE ACCEDA A DICHAS TRANSMISIONES POR TERCERAS PARTES NO AUTORIZADAS. EXCEPTO POR LO DISPUESTO EXPRESAMENTE EN ESTOS TÉRMINOS Y CONDICIONES, WEKALL NO SERÁ RESPONSABLE DE NINGUNA DEMORA, PÉRDIDA, ALTERACIÓN O INTERCEPCIÓN DE LOS DATOS O CONTENIDO DEL CLIENTE EN EL CURSO DE SU TRANSMISIÓN A TRAVÉS DE Y ENTRE REDES QUE NO SEAN PROPIEDAD DE WEKALL NI ESTÉN OPERADAS POR ESTE; 3.7.6. LA SOLUCIÓN podrá tener limitaciones técnicas en países con restricciones legales de acceso a internet.

4 PLAZO DE ENTREGA E IMPLEMENTACIÓN.  

WEKALL se compromete a entregar e implementar LA SOLUCIÓN dentro del plazo establecido en el SOF. No obstante, se puede prorrogar previo acuerdo de las partes con mínimo cinco (5) días de anticipación a la fecha de terminación del plazo.

Una vez activado el servicio en la nube y notificada su activación al correo electrónico registrado, el servicio se entenderá activado y aceptado por el cliente.

5 DURACIÓN Y RENOVACIÓN AUTOMÁTICA.

La SOLUCIÓN contratada tendrá un término de duración igual al establecido en el respectivo SOF.

5.1 RENOVACIÓN AUTOMATICA.

Los servicios quedarán automáticamente renovados por un plazo igual de la siguiente manera:

a) Los servicios WeKall contratados con duración mensual menor a un (1) año se renovaran automáticamente si quince (15) días antes de su vencimiento ninguna de las partes se manifiesta en contra de la renovación del mismo.

b) Los servicios WeKall contratados con duración mayor a un (1) año se renovaran automáticamente sí sesenta (60) días antes a la fecha del vencimiento inicial o cualquiera de sus prórrogas, ninguna de las partes se manifiesta en contra de la renovación del mismo.

5.2 DISPONIBILIDAD DE LA INFORMACIÓN AL FINALIZAR EL SERVICIO.

Una vez terminado el servicio por cualquiera de las causas establecidas en estos  términos y condiciones, el CLIENTE dispondrá de un término de diez (10) días hábiles para retirar o solicitar la información de su propiedad que se encuentra alojada en el sistema de almacenamiento en la nube de WeKall. Una vez concluido este término, WEKALL quedará facultado para eliminar cualquier tipo de información que el CLIENTE haya alojado en LA SOLUCIÓN en la nube.

6 VALOR DEL CONTRATO.

Como contraprestación por los servicios, EL CLIENTE deberá pagar a WEKALL la cantidad de dinero que se establece en el SOF de conformidad a los términos y condiciones que ahí mismo se estipulan. Los pagos se realizarán previas las retenciones de Ley, las cuales son aceptadas por el CLIENTE.

6.1 TRM NEGOCIADA

Salvo disposición en contrario establecida en el SOF, cuando los servicios se pacten en dólares americanos, el valor del contrato se liquidará a la TRM de la fecha de facturación.

6.2 FACTURACIÓN

WEKALL generará las facturas correspondientes y EL CLIENTE pagará a WEKALL el total del precio señalado en el SOF, en los términos allí estipulados. La factura deberá reunir los requisitos contemplados en el Estatuto Tributario y su radicación la hará WEKALL mediante correo remitido a la dirección electrónica proporcionada por EL CLIENTE para tal efecto.

6.3 INCREMENTO ANUAL

Ocurrida la renovación automática que trata el numeral 5.1 de estas condiciones, el valor mensual del servicio contratado tendrá un incremento porcentual equivalente al aumento del IPC (Índice de Precios al Consumidor) por cada año de vigencia del mismo.

6.4 VALOR SERVICIOS NO INCLUIDOS.

Cuando el CLIENTE requiera cualquier servicio que exceda el alcance de los servicios contratados, WEKALL deberá cotizar de forma previa, someter a aprobación y los cobrará por separado a la tarifa que se acuerden entre las partes mediante el adendum respectivo.

7 MORA EN EL PAGO DEL VALOR DE LA SOLUCIÓN.

7.1 MORA EN EL PAGO.

El incumplimiento por parte del CLIENTE de dos (2) o más pagos recurrentes de los servicios de la SOLUCIÓN contratada facultará a WEKALL para que suspenda dicho servicio, previa notificación por escrito con dos (2) días hábiles de anticipación que realizará a EL CLIENTE, y/o para que dé por terminado con justa causa y unilateralmente los servicios contratados. Así mismo, EL CLIENTE asumirá todos los costos adicionales que se generen por motivo de la reactivación del servicio, los cuales no superaran el valor equivalente a un pago recurrente del servicio. En el caso de suspensión del servicio por falta de pago, WEKALL deberá reestablecer el/ servicio en un plazo máximo de tres (3) días hábiles siguientes a la confirmación efectiva del respectivo pago.

7.2 RETRASOS IMPUTABLES AL CLIENTE EN LA INSTALACIÓN.

Los costos adicionales que se generen derivados de la no ejecución de la instalación por razones imputables a EL CLIENTE deberán ser asumidos por EL CLIENTE y los que se presenten por causas atribuibles a WEKALL serán asumidos por este último.

7.3 INTERESES MORATORIOS.

No se permitirá la mora en los pagos, en caso de darse ésta se causarán intereses a la tasa de mora máxima contemplada en la ley comercial.

7.4 SANCION POR TÉRMINACIÓN DEL SERVICIO POR MORA EN EL PAGO

En caso de incumplimiento por parte del CLIENTE de dos (2) o más pagos recurrentes de los servicios de la SOLUCIÓN contratada, el CLIENTE se obliga para con WEKALL a pagarle una suma equivalente a dos (2) pagos recurrentes o el veinte (20%) del valor total del servicio, cualquiera que sea mayor, valor que puede ser cobrado ejecutivamente conforme a lo establecido en el artículo 422 del Código General del Proceso, renunciando desde ya EL CLIENTE a la constitución en mora.

7.5 COSTOS Y GASTOS ADICIONALES

El CLIENTE deberá asumir los costos y gastos adicionales a que haya lugar en las siguientes situaciones: 7.5.1. Incumplimiento de alguna de las responsabilidades que le hayan sido asignadas lo cual deberá ser debidamente probado; 7.5.2. Modificaciones al cronograma que se originen por retrasos en la ejecución de actividades asignadas a EL CLIENTE y/o suspensión de los servicios contratados por mora en los pagos; .7.5.3. Reconexión de la SOLUCIÓN; 7.5.4. Actividades adicionales de consultoría, capacitación, programación y/o soporte que no estén incluidas en el Cronograma de implementación; 7.5.5. Solicitud de equipos, hardware o software adicional al contemplado en el SOF y establecido en estos términos y condiciones.

8 OCTAVA: OBLIGACIONES DE WEKALL.

Son obligaciones de WEKALL: i) Prestar el servicio conforme a las especificaciones establecidas en el SOF, el objeto y el alcance de los términos y condiciones dispuestas en los presente términos y condiciones; ii) Prestar el servicio de soporte técnico de acuerdo a las especificaciones establecidas en estas condiciones y las presentadas en el SOF; iii) Mantener la reserva de la información confidencial a la que tenga acceso en virtud del servicio contratado; iv) Cumplir los deberes establecidos en las presentes condiciones y en el SOF; v) Prestar el servicio durante el tiempo que dure el contrato; y vi) Las establecidas y a cargo de WEKALL en el numeral 3.3 de estas condiciones.

9 OBLIGACIONES DEL CLIENTE.

Son obligaciones de EL CLIENTE: i) Pagar el valor total de los servicios contratados en la fecha y en las condiciones acordadas en el SOF; ii) Adquirir o contar con la infraestructura técnica (herramientas de hardware y software base, internet, redes, estaciones de trabajo, etc) necesaria para que LA SOLUCIÓN corra de manera adecuada y los demás requerimientos técnicos comunicados por WEKALL y establecidos el SOF; iii) Cargar, subir o enviar la información que desea compartir; iv) Proveer el internet con ancho de banda necesario para el uso de LA SOLUCIÓN en cualquier equipo o dispositivo móvil que tenga acceso a la misma; v) Las establecidas y a cargo del CLIENTE en el numeral 3.2 de estas condiciones.

10 SOPORTE.

EL CLIENTE tiene el derecho de acceder a los servicios de soporte brindados por WEKALL únicamente para el/los servicios que componen LA SOLUCIÓN contratada de conformidad con los acuerdos de nivel de servicio (ANS) establecidos y disponibles en www.wekall.co, y de acuerdo al plan del servicio y soporte escogido por el cliente y aprobado en el respectivo SOF MODELO DE OPERACION DEL SERVICIO WE

Sábados, Festivos y Dominicales quedan excluidos. Valor servicio por hora (cobro mínimo es por hora), USD$250.00 en caso de requerimiento urgente.

Los procesos de mantenimiento de las plataformas, podrán ser notificados entre 10 y 15 días previos a la actividad y serán entre las 7:00pm y 5:00am. En caso de identificar que el proceso de mantenimiento corrige fallas críticas de la plataforma, podrá ser notificado y ejecutado el mismo día.

10.1 ATENCIÓN DE SOPORTE -  TÉRMINOS DE RESPUESTA

Las solicitudes de soporte técnico remoto elevadas por EL CLIENTE vía portal de soporte, web, chat o telefónicamente, se recepcionarán únicamente a través del departamento de sistemas o tecnología de EL CLIENTE.

10.2 PRÉSTAMO DE EQUIPOS

WEKALL NO proveerá a EL CLIENTE equipos en calidad de préstamo, salvo para los casos en los que los servicios incluyan el arrendamiento de equipo según corresponde y conforme a lo establecido en los términos y condiciones propios de los servicio contratados y disponibles en wekall.co/legal.

10.3 SOPORTE TÉCNICO DE TERCEROS PROVEEDORES

Cuando los servicios contratados por EL CLIENTE sean prestados por WEKALL y un tercero/proveedor, los términos y condiciones sobre el servicio de soporte que brinda el tercero/proveedor serán los establecidos por dicho proveedor en sus contratos de adhesión o términos y condiciones del servicio disponibles en su página web.

11 TERMINACIÓN.

Los servicios contratados se entenderán terminados en cualquiera de los siguientes casos: A) Por el cumplimiento del término de duración del servicio contratado, incluyendo sus renovaciones; B) Por mutuo acuerdo entre las partes, para lo cual deberá hacerse constar así en documento escrito; C) Por eventos de fuerza mayor o caso fortuito debidamente probados, caso en el cual se establecerá la responsabilidad conforme con las normas legales vigentes; D) Por incumplimiento de cualquier de las PARTES de las obligaciones esenciales surgidas de este contrato y que no fueran saneadas por la parte incumplida dentro de un término de quince (15) días hábiles (no aplica para mora en pago del valor de LA SOLUCIÓN); E) Por incumplimiento en el pago dos (2) o más pagos recurrentes por parte del CLIENTE, únicamente cuando WEKALL así lo decida; F) En el caso de que EL CLIENTE entre en un proceso de liquidación, reorganización empresarial, quiebra, o cualquier otro procedimiento similar, WEKALL tendrá el derecho de terminar este contrato de forma inmediata mediante notificación por escrito a EL CLIENTE; G) Las demás estipuladas en otras cláusulas de este documento, la respectiva propuesta comercial, en los términos y condiciones de cada servicio contratado, o en la Ley.

12 CONFIDENCIALIDAD DE LA INFORMACIÓN.

LAS PARTES se comprometen a guardar el sigilo que corresponde a una información de estricta confidencialidad, sobre todos los documentos, información, conocimientos en general, cualquier dato relacionado con la empresa o el negocio de la otra parte que en desarrollo de el/los servicio(s) contratado(s) por EL CLIENTE adquieran o lleguen a adquirir; o aquello que resulte o sea conocido con ocasión de la realización de las sesiones en que se cumplirá el objeto sobre el entendido que la misma forma parte de su secreto industrial y técnico y no puede darse a conocer, manipularse para beneficio propio o de terceros, en ningún evento, sin la previa y escrita autorización que la parte propietaria de la información le imparta frente a cada tema en particular. LAS PARTES se comprometen en forma directa, y asumen la responsabilidad, de que las personas que contraten o vinculen para el desarrollo de el/los servicio(s) contratado(s) por EL CLIENTE, guarden igualmente el sigilo que exige dicha información confidencial.

Las obligaciones establecidas en esta cláusula no aplican a información que: H) La parte propietaria de la información ponga regularmente al alcance de terceros sin que haya restricciones de divulgación; I) Es o pasa a ser del dominio público sin que hubiere existido ningún acto u omisión de alguna de las partes; J) Es revelada como resultado de una orden judicial o administrativa válida.

13 PROPIEDAD DE LA INFORMACIÓN:

Salvo disposición en contrario en el presente contrato, este contrato no garantiza a ninguna de las partes ningún derecho, implícito o no en la Propiedad de la Información, al contenido o a cualquier parte de la propiedad intelectual del otro. Tal como establecen las partes, EL CLIENTE posee todos los Derechos de propiedad intelectual de los Datos de EL CLIENTE, y WEKALL y los terceros proveedores según corresponda, poseen todos los Derechos de propiedad intelectual de los Servicios. 13.1. Todos los derechos, títulos e intereses en la Plataforma Wekall, incluidos los derechos de propiedad intelectual, permanecerán en propiedad WEKALL y/o el tercero/proveedor y pertenecen exclusivamente a WEKALL y/o el tercero/proveedor según corresponda; 13.2. EL CLIENTE no podrá, ni solicitará o permitirá a terceros: 13.2.1. Retirar ni modificar las marcas de ningún programa o los avisos referentes a los derechos de propiedad de WEKALL y/o el tercero/proveedor; 13.2.2. poner los programas o materiales derivados de los servicios objeto de las presentes condiciones (a excepción de su contenido y sus aplicaciones) a disposición de terceros de cualquier modo para su uso en las operaciones de negocios del tercero (salvo que dicho acceso esté expresamente permitido por WEKALL y/o el tercero/proveedor); 13.3. El CLIENTE otorga un derecho y una licencia libres de regalías, a nivel mundial, limitado, no asignable y no sublicenciable a WEKALL y el tercero/proveedor, y los autoriza para copiar, duplicar, transmitir, procesar y utilizar sus datos y el contenido de ELCLIENTE únicamente para proporcionar los servicios WeKall; 13.4. Todo el contenido de EL CLIENTE que se publica, se accede, se comparte o se almacena a través de WeKall es responsabilidad exclusiva de EL CLIENTE. WEKALL no ofrece representación, garantía o incentivo de ningún tipo con respecto al contenido de EL CLIENTE, incluyendo, entre otros, cualquier garantía de exactitud o integridad, comerciabilidad o idoneidad para un propósito particular, o con respecto a la no infracción de marcas comerciales, patentes, derechos de autor, derechos de protección de máscaras o cualquier otro derecho de propiedad intelectual, u otros derechos de terceros o entidades; 13.5. WEKALL hará todos los esfuerzos técnicos, administrativos y comerciales razonables para garantizar la confidencialidad del contenido y datos del EL CLIENTE. WEKALL no será responsable ante EL CLIENTE en caso de que terceros tengan acceso al contenido o datos del EL CLIENTE cuando este haya proporcionado dicho acceso.

14 DERECHOS DE PROPIEDAD INTELECTUAL E INDUSTRIAL.

WEKALL, sus productos y/o servicios y sus logotipos o diseños son marcas registradas propiedad de WEKALL S.A.S. BIC. Cualesquier información, conceptos, materiales o sistemas relativos al diseño y operación de la SOLUCIÓN y/o la plataforma de telefonía IP empresarial en la nube “WeKall” de WEKALL y de sus Servidores, o que fuera desarrollada por WEKALL para prestar los Servicios objeto del presente contrato, incluyendo, pero no limitándose a, cualesquier formatos, configuraciones, programas de cómputo o software, texto, códigos de programación, elementos gráficos, diseños, logotipos, imágenes, ilustraciones, fotografías, sonido, videos, datos, información o texto HTML/XML, incluidos o contenidos en la(s) página(s) de Internet de “wekall.co”  y/o en el o los Servidor(es) de WEKALL y cualesquier secreto industrial, know-how, metodología y procesos relativos a los Servicios “WeKall” u otros Servicios ofrecidos por WEKALL , serán de la única y exclusiva propiedad de WEKALL, incluyendo también, pero no limitándose a, todos los derechos de autor, marcas comerciales, signos distintivos, patentes, diseños y dibujos, secretos industriales, y cualesquier otros derechos de propiedad industrial o intelectual inherentes a los mismos (en conjunto los “Materiales de WEKALL”). El CLIENTE no podrá usar o aprovechar en ninguna forma los Materiales de WEKALL, salvo acuerdo que conste por escrito suscrito entre las partes.

15 REPRESENTACIONES Y GARANTÍAS

WEKALL (a) representa y garantiza al CLIENTE que WEKALL tiene la capacidad y las facultades para celebrar y cumplir sus obligaciones de acuerdo los presentes términos y condiciones; (b) garantiza que prestará servicios de implementación y servicios profesionales de manera profesional, bien ejecutados, con habilidad y cuidado; (c) garantiza que los Servicios WeKall se ajustarán sustancialmente al plan elegido por EL CLIENTE y contratado con el SOF; y (d) garantiza que los Servicios WeKall se desempeñarán según los niveles de servicio establecidos en el plan contratado por el CLIENTE y bajo las condiciones establecidas en estos términos y condiciones, la propuesta comercial y en el SOF. Para evitar dudas, las declaraciones y garantías anteriores no se aplican a ningún servicio de prueba, servicios Beta o servicios no soportados.

16 NO WARRANTY

LOS SERVICIOS CONTRATADOS POR EL CLIENTE SERÁN PRESTADOS DE CONFORMIDAD CON LO ESTABLECIDO EN EL SOF, SU Y EN ESTOS TÉRMINOS Y CONDICIONES. POR LO TANTO, WEKALL NO GARANTIZA QUE LAS FUNCIONES DE LOS SERVICIOS CUMPLAN CON REQUERIMIENTOS DE LOS CLIENTES NO ESPECIFICADOS EN LOS DOCUMENTOS SEÑALADOS ANTERIORMENTE. SALVO LO DISPUESTO EN LOS TÉRMINOS DE ESTABILIDAD DE CADA SERVICIO/PRODUCTOS, WEKALL NO GARANTIZA QUE LA OPERACIÓN DE CADA UNO DE SUS SERVICIOS/PRODUCTOS SEA ININTERRUMPIDA O LIBRE DE ERRORES, Y POR LO TANTO, RENUNCIA A CUALQUIER TIPO DE RESPONSABILIDAD DERIVADO DE ELLO. SALVO DISPOSICIÓN EN CONTRARIO EN EL SOF, WEKALL NO GARANTIZA QUE LOS PRODUCTOS Y/O SERVICIOS CUMPLIRÁN CON REQUERIMIENTOS, ESTÁNDARES, LEYES O REGULACIONES APLICABLES O ESTABLECIDAS POR AGENCIAS DE LICENCIAMIENTO, INCLUYENDO SIN LIMITACIÓN A LAS LEYES DE CUALQUIER GOBIERNO O REGULACIÓN INTERNACIONAL.

17 EXCLUSIÓN DE RESPONSABILIDAD.

La función de WEKALL se limita única y exclusivamente al cumplimiento de el/los servicio(s) contratados. Por lo tanto WEKALL no se hace responsable por el retraso en la instalación, configuración, puesta en producción y/o  finalización de la implementación los servicio(s) o la prestación de los mismos si EL CLIENTE no dispone de la infraestructura requerida para la implementación, configuración, puesta en marcha y regular funcionamiento de la SOLUCIÓN, sin perjuicio que la obligación de la consecución de los requerimientos esté a cargo de un tercero, o si EL CLIENTE incumpliere en cualquiera de las obligaciones a su cargo derivadas de los servicios contratados. Adicionalmente: A) WEKALL se obliga única y exclusivamente a prestar los servicios contratados, por consiguiente, cualquier tipo de servicio solicitado fuera de lo establecido en la propuesta comercial o para algún componente que no se encuentre estipulado en el alcance de la misma, será facturado con total independencia de la ejecución de los servicios contratados; B) WEKALL NO será responsable por ningún tipo de vulneración que sufra la seguridad o cualquier componente de la infraestructura tecnológica de EL CLIENTE por terceros para prácticas fraudulentas u ocasionarle cualquier tipo de daños a la misma. Por lo cual, es de absoluta y exclusiva responsabilidad de EL CLIENTE, tomar todas las medidas necesarias y/o que encuentre convenientes para garantizar la seguridad de su infraestructura tecnológica; C) WEKALL NO asume responsabilidad alguna por los perjuicios ocasionados por el personal de EL CLIENTE o terceros por prácticas fraudulentas o por las configuraciones, intervenciones o vulneraciones, donde resulte afectada de cualquier forma la infraestructura tecnológica de EL CLIENTE; y D) EL CLIENTE reconoce que WEKALL no controla la transferencia de datos a través de sistemas de comunicaciones, incluido internet, y que los servicios podrán estar sujetos a limitaciones, demoras y otros problemas inherentes al uso de dichos sistemas de comunicaciones. WEKALL no es responsable de demoras, incumplimientos en el envío, u otros daños que sean consecuencia de dichos problemas. WEKALL no es Responsable de los problemas relacionados con el rendimiento, el funcionamiento o la seguridad de los servicios que surjan del contenido de aplicaciones de terceros/proveedores. WEKALL no formula declaraciones ni provee garantías con respecto a la confiabilidad, exactitud, integridad, corrección o utilidad del contenido de terceros/proveedores, y no asume ninguna responsabilidad que se derive en virtud o como consecuencia del contenido de terceros/proveedores.

17.1 OBLIGATORIEDAD DEL PAGO.

Hallándose WEKALL exento de responsabilidad por el retraso en la finalización de la instalación, configuración y puesta en marcha de los servicios contratados dentro del plazo establecido para ello, o por la cesación de la prestación de los servicios contratados, seguirá en curso el pago a cargo de EL CLIENTE a favor de WEKALL como lo indica en circunstancia y término el presente contrato, salvo acuerdo escrito realizado por las partes.

18 LIMITE DE RESPONSABILIDAD

La responsabilidad de WEKALL bajo este acuerdo, sin importar la forma o clase de acción, no excederá los montos pagados por el cliente bajo este acuerdo en los doce (12) meses precedentes a la demanda o reclamación. WEKALL no será responsable por ningún daño especial, indirecto, consecuente o incidencia que surja de la ejecución de este acuerdo y/o el servicio prestado, sin importar si la parte ha sido notificada la posibilidad de ocurrencia de tales daños. Estas limitaciones de responsabilidad no se aplicarán a la responsabilidad por muerte, lesiones personales de naturaleza física o daño a la propiedad tangible causado por la negligencia o la incorrección intencional de WEKALL.

19 CESIÓN.

El servicio contratado por EL CLIENTE no podrá ser cedido por este último ni total ni parcialmente, salvo autorización previa y escrita de WEKALL. WEKALL podrá ceder el servicio contratado por EL CLIENTE en cualquier tiempo a alguna de sus sociedades controlantes, controladas, subsidiarias o parte del grupo empresarial, previa notificación por correo electrónico, al correo registrado por EL CLIENTE, con una antelación no menor de cinco (5) días hábiles.

20 CLÁUSULA COMPROMISORIA.

Las partes acuerdan que las diferencias que se pudieren presentar con ocasión de la celebración, interpretación, ejecución, cumplimiento y terminación del presente contrato y documentos que de él se desprenden, serán sometidas a la decisión de un Tribunal de Arbitramento, conformado por un (1) árbitro para pretensiones de menor cuantía o tres (3) árbitros para pretensiones de mayor cuantía, caso último en que uno de ellos deberá ser especialista en temas de Tecnología, los cuales serán abogados escogidos de común acuerdo entre las partes y, a falta de acuerdo, sus integrantes serán designados por la Cámara de Comercio de la ciudad de Cali, a solicitud de cualquiera de las partes. El Tribunal fallará en derecho. La designación, requerimiento, constitución, funcionamiento y demás aspectos del Tribunal de Arbitramento, se regirán por las disposiciones legales que regulan la materia. El Tribunal funcionará en dicha ciudad, en el Centro de Conciliación y Arbitraje de la Cámara de Comercio. Todos los costos del proceso de arbitraje, incluidos los honorarios de los árbitros serán asumidos por partes iguales por las partes y cuando se dicte el laudo arbitral, la parte vencida reembolsará a la parte vencedora los costos en que ésta debió incurrir.

21 AUTONOMÍA E INDEPENDENCIA LABORAL.

Los servicios contratados por el CLIENTE constituyen una de las principales actividades de WEKALL como independiente que es, los cuales son desarrollados bajo su propio riesgo y medios. Por ello en desarrollo de las actividades tendrá plena libertad y autonomía técnica, administrativa y financiera en la ejecución y cumplimiento de estas y en ningún momento se constituye relación de trabajo alguna entre EL CLIENTE y las personas que WEKALL vincule para la ejecución de el/los servicio(s). No habrá lugar a cargo de EL CLIENTE al pago de salarios, prestaciones sociales ni demás derechos que amparen a trabajadores subordinados o dependientes de WEKALL.

En consecuencia, WEKALL asumirá bajo su propio riesgo, las obligaciones laborales o de cualquier otro tipo que requiera para la prestación de el/los servicio(s), empleando de manera directa a sus propios empleados, subcontratistas y técnicos especializados y declarando que, para efectos de la prestación de los servicios, obra como único empleador o intermediario del personal utilizado.

WEKALL podrá modificar unilateralmente en cualquier tiempo los presentes términos y condiciones, siempre que notifique mediante aviso en su página web www.wekall.co, al correo electrónico registrado del CLIENTE, o través de la aplicación del Servicio WeKall, sobre las modificaciones a estos términos o sus adicciones. Las modificaciones no se aplicarán retroactivamente y surtirán efecto a los quince (15) días siguientes a su publicación. Sin embargo, las modificaciones que versen sobre funcionalidades de LA SOLUCIÓN, o las realizadas por cambios en la legislación aplicable, entrarán en vigencia inmediatamente. Si EL CLIENTE no acepta las condiciones modificadas, debería cancelar el uso del(os) Servicio(s) que tiene contratado(s) con WEKALL, estando obligado EL CLIENTE a pagarle a WEKALL el valor de la cláusula penal establecida en el numeral 31.2 de esto términos y condiciones. Lo anterior, debido a que estas modificaciones son de obligatorio cumplimiento para las partes. SALVO ACUERDO ENTRE LAS PARTES, EN NINGÚN CASO WEKALL TENDRÁ DERECHO A DISMINUIR O DESMEJORAR LAS FUNCIONALIDADES DE LOS SERVICIOS CONTRATADOS DURANTE LA VIGENCIA DEL CONTRATO, Y DE ACUERDO AL PLAN ELEGIDO POR EL CLIENTE Y CONTRATADO MEDIANTE LA FIRMA DEL RESPECTIVO SOF.

23 COMPROMISO ANTI-SOBORNO Y ANTI-CORRUPCIÓN.

Las partes declaran conocer que de conformidad con las disposiciones locales e internacionales anticorrupción y antisoborno, se encuentra prohibido pagar, prometer o autorizar el pago directo o indirecto de dinero o cualquier otro elemento de valor a cualquier servidor público o funcionario de gobierno, partido político, candidato, o a cualquiera persona actuando a nombre de una entidad pública cuando dicho pago comporta la intención corrupta de obtener, retener  o direccionar negocios a alguna persona para obtener una ventaja ilícita (“Normas Anti-Soborno y Anti-Corrupción del Sector Público”). Así mismo, las partes reconocen la existencia de regulación similar en materia de soborno en el sector privado, entendido como el soborno de cualquier persona particular o empresa privada para obtener una ventaja indebida (“Normas Anti-Soborno y Anti-Corrupción del Sector Privado” y junto con las Normas Anti-Soborno y Anti-Corrupción del Sector Público, las “Normas Anti-Soborno y Anti-Corrupción”). En consideración de lo anterior, las partes se obligan a conocer y acatar las Normas Anti-Soborno y Anti-Corrupción absteniéndose de efectuar conductas que atenten contra las referidas Normas Anti-Soborno y Anti-Corrupción. El incumplimiento de la obligación contenida en la presente cláusula constituirá causa de terminación inmediata del presente acuerdo sin que hubiere lugar a incumplimiento y sin lugar a indemnización alguna.

24 CÓDIGO MALICIOSO.

WEKALL se obliga incondicional e irrevocablemente a garantizar que el código fuente desarrollado para la prestación del servicio WeKall, así como la información y documentación (incluidas imágenes, fotografías, animación, vídeo, audio, música, texto y otros elementos que forman parte del software) que entregue a EL CLIENTE, se encuentran libres de Código Malicioso. Así mismo WEKALL se compromete a tomar las medidas necesarias para efectuar el control del Código Malicioso, las cuales incluyen, pero no se limitan a implementar y verificar que funcionen adecuadamente políticas, normas, procedimientos y software, de protección y detección de Código Malicioso. Los compromisos y obligaciones asumidos por WEKALL en esta cláusula estarán sujetas a las prescripciones legales que resulten aplicables.

25 PROTECCIÓN Y TRATAMIENTO DE DATOS PERSONALES

Las Partes acuerdan que, para efectos del presente Contrato, EL CLIENTE se entenderá como Responsable del Tratamiento y WEKALL como Encargado del Tratamiento. En tal virtud, para efectos del tratamiento datos personales y en particular de datos sensibles por parte de WEKALL, quedan contempladas las siguientes reglas: A) CUMPLIMIENTO NORMATIVO. Las partes se obligan a dar cumplimiento a lo establecido en la Ley de protección de datos personales vigente, previsto en la Ley 1581 de 2012 y su reglamento compilado en el Decreto 1074 de 2015, así como en las demás que lo adicionen, modifiquen o complementen; B) RESPONSABLE DE LA INFORMACIÓN. El CLIENTE quien actúa como responsable de la Información, asumirá las obligaciones establecidas en el artículo 17 de la Ley 1581 de 2012, y por ende, declara que cuenta con la autorización de Tratamiento de datos personales por parte de sus Titulares, de tal forma que WEKALL pueda adelantar el Tratamiento de forma legítima, en el marco de las obligaciones del presente contrato.; y C) ENCARGADO DEL TRATAMIENTO. WEKALL quién realiza, por cuenta de EL CLIENTE, el tratamiento de datos personales cuyo responsable es EL CLIENTE, es considerado como Encargado del Tratamiento, por lo tanto, podrá realizar las actividades de recolección, almacenamiento, uso, circulación y supresión, según corresponda de acuerdo con el objeto del presente contrato y estará obligado frente a EL CLIENTE y/o el titular de los datos a dar cumplimiento a las obligaciones a cargo de los Encargados del tratamiento de datos personales establecidas en la ley 1581 de 2012 y sus decretos reglamentarios.

26 CÓDIGO ABIERTO.

Los servicios de la línea WE entre los que se encuentra Wekall y Weprotect, provistos por WEKALL y contratados por EL CLIENTE, en uno o más de sus componentes, puede contener licencias de código abierto basadas en GPL, LGPL Y AGPL. Los términos y condiciones de cada una de las licencias de código abierto mencionadas se encuentran disponibles online en los siguientes enlaces: https://www.gnu.org/licenses/gpl-3.0.en.html        (GPL); https://www.gnu.org/licenses/lgpl-3.0.en.html (LGPL); y https://www.gnu.org/licenses/agpl-3.0.html (AGPL).

27 CIBERSEGURIDAD.

Para cumplir con las políticas de seguridad de WEKALL y las normativas sobre seguridad de la información y ciberseguridad aplicables a la relación contractual, EL CLIENTE reconoce y acepta que WEKALL adoptará las siguientes medidas:

(i) Implementar políticas y procedimientos razonables para gestionar los riesgos y amenazas de seguridad de la información y ciberseguridad, considerando estándares internacionalmente aceptados que se adecuen a nuestras operaciones y servicios; (ii) Mantener políticas y procedimientos efectivos en materia de seguridad de la información y ciberseguridad, abarcando la prevención, protección, detección, respuesta a incidentes, recuperación y aprendizaje; (iii) Salvaguardar la información de WEKALL, utilizando medidas de seguridad apropiadas para prevenir su adulteración, pérdida, acceso no autorizado o fraudulento; (iv) En caso de un Incidente de Ciberseguridad que involucre datos personales de titulares tratados por EL CLIENTE, WEKALL notificará a EL CLIENTE de manera oportuna y cooperará plenamente en la resolución del incidente, así como en el cumplimiento de cualquier requerimiento de una autoridad competente.

27.1 ALCANCE

El incumplimiento demostrado de las obligaciones contenidas en esta cláusula no dará lugar a la terminación automática del contrato por parte de EL CLIENTE.

27.2 RESPONSABILIDAD

En el caso de una decisión judicial o laudo arbitral que demuestre el incumplimiento de WEKALL, nos comprometemos a indemnizar a EL CLIENTE y a terceros afectados por los perjuicios derivados de dicho incumplimiento, únicamente en la medida en que se demuestre nuestra responsabilidad.

27.3 DEFINICIONES

Las expresiones con mayúscula inicial utilizadas en esta cláusula se interpretarán de acuerdo con los siguientes significados: A) Ciberseguridad: Comprende el conjunto de políticas, conceptos, recursos, directrices, acciones y tecnologías dirigidas a proteger los datos, sistemas y aplicaciones esenciales para las operaciones de WEKALL en el ciberespacio; B) Ciberespacio: Entorno resultante de la interacción entre personas, software y servicios en internet, a través de dispositivos tecnológicos conectados a una red con múltiples propietarios y requisitos operativos y regulatorios diversos.

28 DIFERENCIAS ENTRE EL CONTRATO, LOS ANEXOS Y LA PROPUESTA.

Si se llegare a presentar contradicciones entre los documentos mencionados, prevalecerá siempre lo dispuesto en los presentes términos y condiciones y los anexos; de presentarse diferencias entre éstos últimos, prevalecerá lo dispuesto en el presente documento.

29 ORIGEN DE INGRESOS.

Las partes declaran que sus ingresos provienen de actividades lícitas, que no se encuentran con registro negativo en listados de prevención de lavado de activos nacionales o internacionales, que no se encuentran dentro de una de las dos categorías de lavado de activos (conversión o movimiento) y que en consecuencia, se obligan a responder a la otra parte por todos los perjuicios que se llegaren a causar como consecuencia de esta afirmación. En igual sentido responderá ante terceros. Declaran igualmente, que sus conductas se ajustan a la ley y a la ética y  declaran que el buen nombre y la reputación son elementos claves en la celebración y ejecución del presente contrato, razón por la cual pactan que el hecho de que estos y/ o sus representantes legales, sus principales accionistas o socios y/o directivos sean incluidos en una investigación, informe, reporte o listado Policial y/o Judicial Nacional o de Autoridad Extranjera por sospechas de estar involucrado en lavado de activos, tráfico de estupefacientes, trata de blancas, proxenetismo, pornografía infantil, peculado, concusión, secuestro, extorsión, pertenencia y/o tratos con organizaciones armadas ilegales o con organizaciones criminales de cualquier índole, tráfico de armas, terrorismo, delitos de lesa humanidad o delitos contra la libertad, integridad y formación sexuales, será motivo suficiente para dar por terminado el presente contrato, sin que esto genere ningún tipo de indemnización a favor de la otra parte.

30 PREVENCIÓN LAVADO DE ACTIVOS Y FINANCIACIÓN DEL TERRORISMO.

LAS PARTES, utilizando los medios y la información a que tengan acceso, tienen implementadas las medidas tendientes a evitar que las operaciones que se deriven o tengan relación con la ejecución del presente contrato, puedan ser utilizadas sin su conocimiento y consentimiento como instrumentos para el ocultamiento, manejo, inversión o aprovechamiento en cualquier forma de dinero u otros bienes provenientes de actividades delictivas o para dar apariencia de legalidad a estas actividades. En tal sentido, LAS PARTES conocen y aceptan que cualquiera de ellas podrá dar por terminado de manera unilateral e inmediata el presente contrato, sin que haya lugar al pago de indemnización alguna en aquellos casos cualquiera de ellas llegaren a ser: A) Condenados por parte de las autoridades competentes por delitos de narcotráfico, terrorismo, secuestro, lavado de activos, financiación del terrorismo, administración de recursos relacionados con dichas actividades o en cualquier tipo de proceso judicial relacionado con la comisión de los anteriores delitos. B) Incluido en listas para el control de lavado de activos y financiación del terrorismo administradas por cualquier autoridad nacional o extranjera, tales como la lista de la Oficina de Control de Activos en el Exterior – OFAC, la lista de la ONU y otras listas relacionadas con el tema de lavados de activos y financiación del terrorismo.

31 CLÁUSULA PENAL

31.1 INCUMPLIMIENTO DE CUALQUIERA DE LAS PARTES

Si alguna de las partes (WEKALL o el CLIENTE) da por terminado este contrato sin justa causa y en forma unilateral, o simplemente incumple o retarda el cumplimiento de las obligaciones derivadas del presente contrato (exceptuando la obligación de pago que está regida por el numeral 31.2 de estas condiciones), pagará a la otra que haya cumplido, o se haya allanado a cumplir, a titulo de pena, una indemnización equivalente al veinte por ciento (20%) del valor total de éste contrato, que se podrá hacer efectiva mediante proceso ejecutivo, sin necesidad de constitución en mora, a la cual ambas partes renuncian en reciproco beneficio, siendo título ejecutivo el presente contrato. Lo anterior, sin detrimento de hacer exigibles las obligaciones contratadas por la parte incumplida.

31.2 TERMINACION ANTICIPADA DEL CLIENTE O MORA EN EL PAGO A CARGO DEL CLIENTE

Si EL CLIENTE da por terminado este contrato en forma unilateral, o simplemente incumple en su obligación de pago de LA SOLUCIÓN contratada, pagará a WEKALL una suma equivalente al valor mensual de LA SOLUCIÓN multiplicado por los meses que faltaren para la terminación de la vigencia actual de LA SOLUCIÓN, o una indemnización equivalente al veinte por ciento (20%) del valor total de LA SOLUCIÓN, lo que sea más oneroso, suma o indemnización que se podrá hacer efectiva mediante proceso ejecutivo, sin necesidad de constitución en mora, a la cual EL CLIENTE renuncia en beneficio de WEKALL, siendo título ejecutivo el presente contrato, el SOF y sus anexos. Lo anterior, sin detrimento de hacer exigibles las obligaciones contratadas por la parte incumplida.

32 FIRMA ELECTRÓNICA

Con la firma del presente documento, LAS PARTES declaran y se obligan a: A) Que han acordado suscribir el presente contrato utilizando el mecanismo de firma electrónica, el cual cumple con los requisitos contemplados en la Ley 527 de 1999, sus decretos reglamentarios y demás normas que la regulen o modifiquen. B) Que podrán utilizar mensajes de datos y correos electrónicos (formato PDF), como un mecanismo válido de notificación y comunicación entre las partes para todo lo relacionado con este documento. C) Que renuncian expresamente a repudiar o desconocer la validez y/o contenido del documento por el hecho de ser suscrito a través de la firma electrónica. D) Que la información y datos registrados en los mensajes o correos electrónicos que se hayan intercambiado en virtud del presente documento serán admisibles ante cualquier autoridad sea jurisdiccional, administrativa o de cualquier índole como ante cualquier persona, y constituirán plena prueba de los hechos e información que los mismos contengan, salvo que se aporte prueba en contrario. E) Que las firmas usadas en el documento son confiables, íntegras y vinculantes para obligarlas legal y contractualmente en relación con su contenido y tienen la misma validez y los mismos efectos jurídicos de la firma manuscrita de conformidad con la Ley 527 de 1999, sus decretos reglamentarios y demás normas que la regulen o modifiquen. F) Mantener el control y custodia exclusiva sobre los datos de creación de la firma. G) Garantizar que los datos de creación de la firma no sean utilizados de forma indebida o no autorizada.  H) Dar aviso inmediato a la otra Parte sobre cualquier evento que den lugar a que los datos de creación de la firma sean cuestionados, repudiados y/o queden en entredicho, amenazando la confiabilidad e integridad de los mismos.

33 ACUERDO COMPLETO

Los documentos a que hace referencia el numeral 33 de estos términos constituyen el acuerdo completo realizado entre las partes y reemplazan y extingue todos los borradores, acuerdos, arreglos, y entendimientos previos al presente realizado entre las partes y/o sus usuarios, sin importar si estos fueron orales, escritos y/o relacionados con este asunto o la contratación de Los Servicios.

34 ANEXOS.  

Forman parte integral de las presentes condiciones: A. El SOF (Service Order Form / en español, Orden de Servicio); B. Los acuerdos de nivel de servicios (ANS) disponibles en www.wekall.co; C. EL kickoff o acta de inicio de inicio del proyecto; D. Las modificaciones a los servicios de LA SOLUCIÓN contratada acordadas entre las partes y que consten por escrito; y E. Los contratos de adhesión, términos y condiciones del tercero/proveedor para el hospedaje de base de datos.

35 POLIZAS

En caso de así establecerse en el SOF, WEKALL se obliga a adquirir y mantener vigentes durante la duración del servicio de LA SOLUCIÓN contratada, las pólizas de cumplimiento establecidas en el mencionado SOF.

36 MÉRITO EJECUTIVO.

Para todos los efectos, y por contener obligaciones claras, expresas y por ser determinable su exigibilidad, las partes acuerdan que las presentes condiciones, el SOF con su respectiva propuesta comercial y sus anexos, prestan mérito ejecutivo ante juez competente.

37 LEY APLICABLE.

Para todos los efectos, este contrato y la prestación del servicio contratado por EL CLIENTE estarán regidos por la ley Colombiana.

38 VIGENCIA DE LOS TÉRMINOS Y CONDICIONES.

Los presentes términos y condiciones entrarán en vigencia con la adquisición de los servicios WeKall y durante el periodo contratado por el CLIENTE mediante la suscripción del respectivo SOF.

BY EXECUTING A SERVICE ORDER FORM OR USING THE SERVICE, YOU ARE AGREEING TO THE TERMS AND CONDITIONS OF THIS MASTER SOFTWARE LICENSE AND SERVICE AGREEMENT (“Agreement”).

IF YOU ARE USING ANY SERVICE AS AN EMPLOYEE, AGENT, OR CONTRACTOR OF A CORPORATION, PARTNERSHIP OR SIMILAR ENTITY, THEN YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO SIGN FOR AND BIND SUCH ENTITY IN ORDER TO ACCEPT THE TERMS OF THIS AGREEMENT. THE RIGHTS GRANTED UNDER THIS AGREEMENT ARE EXPRESSLY CONDITIONED UPON ACCEPTANCE BY SUCH AUTHORIZED PERSONNEL.

The “Effective Date” (the “Effective Date”) of this Agreement is the date which is the earlier of (a) Client’s initial access to any Service through any online provisioning, registration or order process or (b) the effective date of the first Service Order Form, as applicable, referencing this Agreement. This Agreement will govern Client’s initial purchase on the Effective Date as well as any future purchases made by Customer that reference this Agreement.

This Agreement is entered into by and between WeKall LLC, a Florida limited liability company (“WeKall" or “Provider”) and the person or entity placing an order for or accessing the Service (“Client” or “you”). The above parties shall be individually referred to herein as a “Party” and collectively as the “Parties.” In consideration of the terms and conditions set forth below, the parties agree as follows:

1. Definitions

1.1 "Affiliate" means any corporation, firm, partnership, limited liability company or other entity, whether de jure or de facto, that directly or indirectly owns, is owned by, or is under common ownership with a Party to the extent of at least fifty percent (50%) of the equity having the power to vote on or direct the affairs of the entity and any person, firm, partnership, corporation, limited liability company or other entity actually controlled by, controlling, or under common control with a Party; provided, however, that the term "Affiliate" shall not include either Party.

1.2. “Authorized Users” means the representatives authorized by The Client including employees, temporary agency staff, contractors, consultants and service providers to access and use the WeKall PBX(s) as specified in an Order pursuant to the terms of this Agreement.

1.3. "Costs" means OSCAR's ordinary and necessary costs (calculated in accordance with US GAAP) incurred by OSCAR in the performance of Services (as defined below) under this Agreement.

1.4. “Documentation” means WeKall Software’s guides, manuals, and other technical information in printed, machine-readable form or digital that describes the functionality and use of the WeKall PBX.

1.5. "Fees" shall have the meaning set forth in Section ‎5.1 of this Agreement.

1.6. “Intellectual Property Rights” or “IPR” means any ideas, whether or not patentable, inventions, discoveries, processes, works of authorship, marks, names, know-how, and any and all rights in such materials on a worldwide basis, including any rights in patents, inventor’s certificates, utility models, copyrights, moral rights, trade secrets, mask works, and all related, similar or other intellectual property rights recognized in any jurisdiction worldwide, including all applications and registrations with respect thereto.

1.7. “Licensed Capacity” means the quantity of each software licensed as specified in a Service Order Form.

1.8. “Open Source Software” means software licensed under an open source license.

1.9. "Payment Date" means the due date for payment of the payments and any other amounts payable hereunder.

1.10. "Services" means the services described in the Service Order Form attached to this Agreement, as amended from time to time.

1.11. “Service Order Form” or “SOF” means an agreed written or electronic document, and any purchase order issued by the Client, which shall be subject to the terms and conditions of this Agreement that identifies the software to be licensed, the Licensed Capacity thereof, applicable Fees, including tax and payment terms and the Support to be purchased, and any other applicable terms (including but not limited to a listing of any additional Authorized Users, which for avoidance of doubt The Client shall be responsible for their agreement and compliance with the terms hereof and such obligation shall be deemed part of Section 2).

1.12. “Software Requirements” means any software, materials, operating systems, hardware, platforms and prerequisite items identified in the Documentation or License Information Document or other specifications provided by WeKall which are not included or part of the WeKall PBX and are required to ensure that the WeKall PBX operates in accordance with the Documentation.

1.13. “Territory” means world-wide except for those countries considered embargoed or sanctioned countries under U.S. or applicable laws or regulations.

1.14. "Third Party" or "Third Parties" means any person(s) or entity(ies) other than a Party or an Affiliate.

1.15. “Third Party Software” means Third Party software, libraries, and components excluding Open Source Software incorporated in or included with the WeKall PB.

1.16. “US GAAP” means United States Generally Accepted Accounting Principles.

1.17. “WeKall” means a Florida limited liability company, owner of the IPR and licensor/service provider of the software as a service WeKall PBX.

1.18. “WeKall PBX” means the software as a service WeKall PBX on the cloud to be licensed to the Client under the terms of this Agreement.

1.19. “WeKall Technology” means (i) the WeKall PBX, the Services, any software developed by WeKall, Documentation, WeKall’ APIs, WeKall’ website(s) and any content published on the WeKall’ websites, (ii) any training materials, support materials, templates, tools, methodologies or know-how, (iii) WeKall’ Confidential Information and (iv) any modifications or derivative works of the foregoing.

2. License Grant and Services

2.1. Subject to the terms, conditions, and other restrictions set forth in this Agreement, and a valid SOF (including timely payments of any Fees therein), WeKall grants to the Client a non-exclusive, nontransferable, limited, and revocable license, without the right to sublicense, under WeKall IPR, to install, access, and use the WeKall PBX (i) in the Territory (ii) up to the Licensed Capacity; (iii) only for the Client’s internal business purposes); (iv) for the term stated in the applicable SOF; and (v) in accordance with the Documentation, license information document and the applicable SOF. For avoidance of doubt, the Client has no rights to create derivative works, assign, distribute, lease, rent, or otherwise transfer the WeKall PBX.

2.2. The Client Affiliates and Authorized Users may install, access, and use the WeKall PBX and Support under the terms of this Agreement, and such use shall be counted in determining the Client’s utilization of the Licensed Capacity. The Client shall remain fully responsible for ensuring its Affiliates’ and Authorized Users’ agreement and compliance with the terms of this Agreement and the SOF.

2.3. The Client hereby acknowledges that the WeKall PBX may contain Third Party Software and/or Open Source Software and/or may require Software Requirements. In the event that Open Source or Third Party Software is included in the WeKall PBX, such Open Source or Third Party Software is made available to the Client in accordance with the licenses for such Open Source or Third Party Software. In the event that the WeKall PBX relies on Software Requirements and unless expressly provided otherwise in a SOF, the Client agrees that: (a) WeKall and its Affiliates have not obtained or conveyed to the Client any Intellectual Property Rights to use the applicable Software Requirements; (b) the Client shall be solely responsible, at its cost and expense, for procuring the required rights/licenses in the Software Requirements; (c) WeKall does not provide any warranties or support for Software Requirements; and (d) any claims with respect to the Software Requirements shall be made against the applicable third party provider of such Software Requirements.

2.4. WeKall shall perform the Services stated in the SOF in accordance with the terms of this Agreement and the SOF.

2.5. Unless otherwise stated to the contrary in this Agreement or the SOF, any SOF executed by the Parties in regards to the WeKall PBX license and Services shall be governed by this Agreement.

3. Scope of the License and Services

3.1. Uses of WeKall PBX - Client Responsibilities. The Client undertakes to: 3.1.1. Assume full responsibility for the accuracy, quality, integrity and legality of his data and the means by which acquired its data; 3.1.2. Use reasonable technical, administrative and commercial efforts to prevent unauthorized access or use of the WeKall PBX; 3.1.3. Correspondingly, The Client will refrain from: 3.1.3.1 Make the services available to any person who is not Authorized User; 3.1.3.1 Sell, resell, rent or lease the WeKall PBX; 3.1.3.3. Use the WeKall PBX to store or transmit materials that constitute infringement or defamation or any other illegal or libelous material, or store or transmit materials that violate the privacy rights of others, 3.1.3.4. Use the WeKall PBX to store or transmit malicious code; or 3.1.3.5. Attempt to obtain unauthorized access to the services or our systems or networks related to the administration of the WeKall PBX; 3.1.4. The Client agrees not to use or allow the use of the WeKall PBX, including by uploading, sending by email, publication, announcement or transmission by other means, of any material, including its content, its applications and third-party content, for any purpose that 3.1.4.1. Threatens or harasses any person or causes damage or injury to persons or property; 3.1.4.2. Involves the publication of false, defamatory, harassing or obscene material; 3.1.4.3 Violates privacy rights or promotes intolerance and racism; 3.1.4.4. Constitutes unsolicited bulk email, junk mail, spam, or chain letters; 3.1.4.5. Constitutes a violation of intellectual property rights or other proprietary rights; or 3.1.4.6. In any way, that violates applicable laws, statutes or regulations; 3.1.5. It is the sole responsibility of the Client the proper management of its database and its operation; 3.1.6. The use by the Client of the WeKall PBX is subject to limitations described herein regarding the number of Licensed Capacity or Authorized Users to use the WeKall PBX: 3.1.6.1. Depending on the Licensed Capacity stated on the SOF, the number of Authorized Users (Extensions) and the logins corresponding to the amount specified therein are limited; 3.1.6.2. an Authorized User's login credentials may be used only by the Authorized User designated by the Client until their account is deleted; and 3.1.6.3. the login of an Authorized User's account may be reassigned to a new person only when replacing a previously Authorized User who will no longer use the WeKall PBX. The Client may designate as Authorized Users only persons over whom it has sufficient control (contractual or otherwise) to ensure compliance with this Agreement, such as employees, consultants and contractors, as long as they are logged in with the same domain; 3.1.7. The Client shall be responsible for ensuring the Internet connection on any hardware and software used in connection with the WeKall PBX and all related configurations (collectively referred to as "Software Requirements") comply with the minimum standards and technical requirements set out and available at www.wekall.ai/softwarerequirements; 3.1.8. The Client agrees to: 3.1.8.1 Grant access to WeKall personnel in the physical facilities (only if required by WeKall) and other remote resources of the Client and under its control. Access will be granted with advance notice and in the presence of the Client's IT personnel. This provision aligns with WeKall's reasonable requests to fulfill its obligations stemming from the granted WeKall PBX license; 3.1.8.2. Make under its own responsibility and cost any adjustment to the Client’s technical and technological environment that WeKall finds reasonably necessary to satisfy the minimum technical requirements established in the Software Requirements; 3.1.9. The Client may use the WeKall PBX only for approved devices established in the Software Requirements. To ensure the proper operation of the WeKall PBX, the Client shall maintain an internet service for uploading and downloading that guarantees the following conditions: 3.1.9.1. Minimum speed of 80Kbps for an audio call and 512Kbps for a video call, 3.1.9.2. Latency for audio or video maximum of 120ms, and 3.1.9.3. Packet loss less than 5%; 3.1.10. The Client acknowledges and understands that the quality of the call depends not only on the specification and availability of the WeKall PBX, but also on the telecommunications network to which the other parties are connected; 3.1.11. The Client may only assign one (1) extension per Authorized User, unless said extension is used with the same IP phone by different users or through the functionalities offered by the WeKall PBX (Example: Huntgroup). Failure to comply with this condition will entitle WeKall to retroactively charge the monthly charges for each additional Authorized User or extension that would be applicable to the newly assigned user, charges that must be assumed and paid by the Client pursuant to Section 6 of this Agreement. 3.1.12. The Client shall pay the value of the WeKall PBX on the date and under the conditions set forth in this Agreement and the SOF; 3.1.13. Adopt customary preventative measures within technology operations during the execution of this Agreement. This is essential to prevent potential failures that could result in any form of disruption to the services offered by WeKall.; 3.1.14. Ensure the availability of physical space as well as the required personnel at all stages of the implementation and training process in accordance with the implementation methodology; 3.1.15. Execute the tasks assigned to it within the Service work plan; 3.1.16 Provide the data required by WeKall and stated in the Service’s Kickoff minute.  

3.2. WeKall PBX and the Service – Responsibilities of WeKall. Once the process of implementing the WeKall PBX has been completed in accordance with each of the stages established in the kickoff of the Service, WeKall undertakes to: 3.2.1. Gran the license of WeKall PBX pursuant to the terms set forth in this Agreement and the SOF; 3.2.2.  Offer remote technical support for the WeKall PBX in accordance with the terms stated in Section 12 of this Agreement; 3.2.3. Will use all reasonable efforts from the technical point of view to make the WeKall PBX available to the Client with a minimum availability of 99.5% out of scheduled maintenance while also striving to minimize data loss during the Client's communications, except for: 3.2.3.1.  Any unavailability caused by circumstances beyond its reasonable control, including but not limited to acts of God, governmental actions, floods, fires, earthquakes, social unrest, acts of terrorism, strikes or other labor problems other than those involving its employees, damages caused by the Client and/or its users, failures or delays of the Internet service provider of the Client, Third Parties, including but not limited to Amazon Inc., and 3.2.3.2 Any unavailability due to unforeseeable service failures of the Third Party/local and national telephone provider chosen by WeKall; 3.2.4.  Deliver the technical features of the WeKall PBX pursuant to this Agreement and the SOF; 3.2.5.  The Client may acquire with WeKall the call recording service in accordance with the terms set forth in the SOF, and the following conditions: 3.2.5.1. WeKall will choose the Third Party/cloud storage provider pursuant to the provisions of Section 3.5 of this Agreement; 3.2.5.2.  The recordings will be stored on the cloud server of the Third Party/provider for the term stated in the SOF (the “Storage Term”); 3.2.5.3. Upon the conclusion of the Storage Term, WeKall will furnish the recordings to the Client if the Client submits a written request within ten (10) days after the Storage Term's conclusion. Otherwise, the recordings will be automatically deleted. If the recordings are indeed requested and subsequently delivered to the Client, WeKall will proceed with their complete deletion from its servers or the Third Party server; 3.2.6.  WeKall grants the Client access to the WeKall PBX via approved and/or certified devices listed in the compatibility matrix provided in the Software Requirements; 3.2.7.  IP-based communications have inherent limitations relative to traditional analog or other communication methods. While WeKall was designed to address and manage these limitations, WeKall cannot guarantee that all communications transmitted to or from the WeKall PBX (including voice, fax, and text messages) will be delivered without partial or any data loss.  3.2.8.  Constant monitoring of the 7x24 platform (Core) and validation of the service operation to deliver the availability offered to the Client of 99.5%; 3.2.9.  If the Client and/or a third party make modifications to the WeKall PBX through WeKall PBXs or software developed within the organization or through any technical mechanism, WeKall ceases to be responsible for the proper performance of the WeKall PBX, unless WeKall has verified and approved such development. When modifications are made to the WeKall PBX as a result of a support case and these modifications are in writing and originated in personnel of the WeKall support department, they are not considered as internal developments therefore, this clause does not apply. If the Client requires to develop some type of software component that integrates with the WeKall PBX, it must be done through an integrator that does not interfere with the WeKall PBX.

3.3. Information Security and Cybersecurity. Considering that the Clients’ information is one of its most important assets, WeKall will be subject to the following obligations: 3.3.1. WeKall shall be responsible for establishing and maintaining security policies, including security of physical, digital, virtual, cyberspace elements independent of their transit and/or location, which shall be designed to: 3.3.1.1. Guarantee the protection, comprehensiveness, availability and confidentiality of all information accessed on the occasion of this contract and in accordance with its level of sensitivity. 3.3.1.2 Protect in advance against threats and/or risks that may affect the information that is accessed during the contracted service, 3.3.1.3 Protect against unauthorized access or use of Confidential Information or classified as personal data according to applicable law, 3.3.1.4 Ensure that all information is treated in accordance with applicable security standards. WeKall must develop procedures to manage any incident of unauthorized access and/or violation that threatens the security of the confidential information of the Client and/or personal data according to applicable laws, 3.3.1.5 WEKALL may modify its security policies, including physical security, at any time during the term of the contract, in accordance with the applicable standards and good security practices, provided that the conditions defined with the Client are met;  3.3.2. Have suitable security devices and tools that protect their networks and technological infrastructure; 3.3.3. Establish controls, tools and/or mechanisms for the secure deletion and destruction of information in accordance with the best practices of the industry and procedures and mechanisms for the return and delivery to the Client of all the information to which he had access during the validity of the contracted service; 3.3.4 For contracts that within the provision of its service receive, store, process, deliver or transmit personal data in accordance with applicable laws, WeKall declares to know, accept and comply with the regulation on personal data and maintain during the term of the contract the security and protection measures required by applicable laws; 3.3.5. WeKall shall develop contingency and continuity plans for interruption on the Services or the WeKall PBX. WeKall shall implement periodic testing procedures to the contingency and continuity plans; 3.3.6. WeKall will provide immediate notice to the Client in case of any event or circumstance that alters the normal development and/or execution of the contracted service. WeKall undertakes to establish procedures, responsibilities and measures to inform the Client in an effective and timely manner, about the changes, alterations or modifications made to the information or elements involved in the development of this Agreement, without the corresponding authorization. Likewise, WeKall will take the necessary corrective measures immediately when an alteration or unauthorized manipulation is detected; 3.3.7. During the term of the Agreement, WeKall will safeguard the database or databases provided by the Client and use them solely for the fulfillment of its contractual obligations under this Agreement. Likewise, WeKall should have the capability to encrypt the information received from the Client that needs to be protected, contingent upon the compatibility of the Client's hardware or software. Consistent with the aforementioned, WeKall will have perimeter security tools and tools that prevent data loss intended to avert any potential leakage of information; 3.3.8. WeKall shall maintain reasonable and sufficient security controls during the execution of this Agreement. 3.3.9. WeKall will execute the procedures established in its security policies implemented by the company as a main component of its accreditation and/or certification under ISO 27001 standards.

3.4. Software Requirements. The Software Requirements that the Client must adhere to for the WeKall PBX are detailed and available at www.wekall.ai/softwarerequirements.

3.5 Third Parties. 3.5.1. WEKALL may offer the WeKall PBX with local and national telephone services provided and operated by a Third Party/supplier pursuant to a separate service agreement to be executed between the Client and such Third Party ("Third Party Services"); 3.5.2.  WeKall will choose the Third Party/provider for the provision of the local and national telephone service to be integrated with WeKall PBX, and the Third Party /provider for the cloud storage of the recordings. WeKall, at its sole discretion, has the right to change or replace the Third Party/supplier at any time prior to written notice to the Client within a minimum of three (3) days, provided that the conditions offered by the new Third Party/telephone or storage provider do not deteriorate the current features and quality of the WeKall PBX, and the same fixed number unless the Client agrees to change it; 3.5.3. The WeKall PBX will also be subject to the terms and conditions established by the Third Party/suppliers. Thus, the master agreements, terms and conditions of the Third Parties/suppliers, which shall constitute an integral part of this Agreement; 3.5.4. The Client authorizes WeKall to invoice, collect, and remit to the Third Party service provider the amounts attributable to the third-party Services in accordance with the procedures applicable to the WeKall PBX. The Client acknowledges that: 3.5.4.1.WEKALL makes no representations or warranties regarding, and shall have no liability whatsoever for, the Third Party services; 3.5.4.2.  WeKall shall not be considered a reseller of Third Party services; and 3.5.4.3. The Client will only seek from the Third Party service provider any resource related to it; 3.5.5. The Third Party provider chosen by WeKall for telephone services for incoming and outgoing local and national calls for Colombia is Telmex Colombia S.A., and for outgoing calls to cellular for Colombia is UNE EPM Telecomunicaciones S.A. E.S.P. (Tigo Colombia). 3.5.6. The Client may retain and manage the PBX telephone lines that are currently under their ownership and have been procured through other Third Party providers, aside from WeKall. In the above case, the Client must redirect the numbers and call traffic retained with the other Third Party to the WeKall PBX.

3.6. License Restrictions. Except for the limited licenses expressly granted in Section 3, the Client has no further rights in the WeKall PBX(s), whether express, implied, arising from estoppel or otherwise. Further restrictions regarding The Client’s use of the WeKall PBX are set forth below. Except as expressly authorized herein, The Client will not: 3.6.1 prepare any derivative works, or otherwise use, copy, modify, distribute, assign, sublicense, lease, rent, or otherwise transfer the WeKall PBX, except to the extent required by law; 3.6.2. use the WeKall PBX in an outsourcing or service bureau environment on its behalf and/or on behalf of non-affiliated third parties or allow the WeKall PBX to be used by an outsourcing or service bureau provider on behalf of the Client; 3.6.3. distribute the WeKall PBX to end-users as on-premises distributions or offer the WeKall PBX as a cloud service or software-as-a-service to any end-users; 3.6.4. reverse engineer, reverse assemble, reverse compile, translate, or otherwise attempt to discover the Source Code form of any WeKall PBX that are provided in Object Code form, except as permitted by the national or regional law of the places where the the Client does business (without the opportunity for contractual waiver), and then only with respect to the particular copy of Object Code incorporated into that particular WeKall PBX; 3.6.5. use any of the WeKall PBX’s components, files, modules, audio-visual content, or related licensed materials separately from the WeKall PBX; 3.6.6. attempt to disable or circumvent any of the licensing mechanisms within the WeKall PBX; 3.6.7. alter or remove any copyright, trademark or patent notice(s) in the WeKall PBXs; and 3.6.8. use the WeKall PBXs in a way that requires the WeKall PBX to be licensed as Open Source Software.

4. Delivery Time and Implementation

WeKall PBX shall be implemented by WeKall according to the terms and conditions set forth in this Agreement, the SOF, and Kickoff.

Notwithstanding the foregoing, the implementation term may be extended with the prior written agreement of the parties at least five (5) days before the date of termination of the implementation term.

The stabilization period of the WeKall PBX will be two (2) weeks from the completion date of the implementation.  

Once the cloud service has been activated and its activation notified to the registered email, the WeKall PBX will be deemed to be activated.

5. Term.

This Agreement commences on the Effective Date and shall continue for the duration specified as the Term in the SOF, unless terminated earlier in accordance with the terms of this Agreement.

5.1. Automatic Renewal. The term of this Agreement will be renewed for an equal period if non-Party opposes the renewal by written communication to the other at least three (3) months before the expiration of the current term.

6. Fees

6.1. Fees. The total value of this Agreement (the “Fees”) for the license of the WeKall PBX and the Services listed in the SOF shall be the amount(s) stated in the SOF, which will be paid to WeKall in accordance with the terms of such SOF and this Agreement.

6.2. Currency and Interest. Any amounts payable hereunder shall be made in United States currency or such other currency as may be agreed in writing by the Parties.

6.3. Annual Fee Increments.  If this Agreement is renewed, the Fees will increase by a percentage that matches the increase in the Consumer Price Index (CPI) of the United States for each year of the Agreement's validity.

6.3. Taxes.  The Fees agreed between the Parties are net prices and free of taxes directly and indirectly related to the license of the WeKall PBX and the Services to the Client. Therefore, the Fees may not be subject to any deductions, withholdings or discounts that may be legally applicable, all of which shall be the responsibility of the Client in any scenario.

7. Late Payments and Additional Costs.

7.1. Late Payments. The nonpayment of two (2) or more invoices issued by WeKall pursuant to this Agreement and the SOF, WeKall may, at its sole discretion, suspend the WeKall PBX license and Services to the Client, and/or unilaterally terminate this Agreement with just cause. Likewise, The Client will assume all additional costs generated by the reactivation of the WeKall PBX, costs that may not exceed the value equivalent to a monthly fee of the WeKall PBX license. If the service is suspended due to non-payment, WeKall is obliged to restore the service within three (3) business days after receiving confirmation of payment.

7.2. Interest. Late payments will not be allowed, in such event, interest will be caused at the maximum rate allowed by the applicable law.

7.3. Implementation Delays. The additional costs generated by the non-execution of the implementation of the WeKall PBX for reasons attributable to The Client must be paid by the Client, and those that arise for reasons attributable to WeKall, will be assumed by the latter.

8. Additional Costs.

The Client must assume the additional costs and expenses that may arise in the following situations:

8.1. Failure to comply with any of the responsibilities assigned to it, which must be duly proven.

8.2. Modifications to the Kickoff schedule originated from delays in the execution of activities assigned to the Client and/or suspension of the contracted services due to late payments.

8.3. Reconnection of the WeKall PBX for nonpayment.

8.4. Additional consulting, training, scheduling and/or support activities that are not included in the SOF.

8.5. Client’s request for equipment, hardware, or software in addition to the stated in the SOF.

9. Confidentiality.

9.1 The Parties acknowledge that the Receiving Party will have access to information that is treated as confidential and proprietary by the Disclosing Party, including, without limitation, the existence and terms of this Agreement, trade secrets, technology, and any information pertaining to business operations and strategies, customers, pricing, marketing, finances, sourcing, personnel, business model or operations of the Disclosing Party, its affiliates, or their suppliers or customers, in each case whether spoken, written, printed, electronic, or in any other form or medium (collectively, the "Confidential Information"). Any Confidential Information that the Receiving Party accesses or develops in connection with this Agreement shall be subject to the terms and conditions of this Section. The Receiving Party agrees to treat all Confidential Information as strictly confidential, not to disclose Confidential Information or permit it to be disclosed, in whole or part, to any third party without the prior written consent of the Disclosing Party in each instance, and not to use any Confidential Information for any purpose except as required in the performance of this Agreement. Receiving Party shall notify the Disclosing Party immediately in the event the Receiving Party become aware of any loss or disclosure of any Confidential Information.

9.2 Confidential Information shall not include information that:

(a) is or becomes generally available to the public other than through the Receiving Party’s breach of this Agreement; or

(b) is communicated to the Receiving Party by a third party that has no confidentiality obligations with respect to such information.

6.3 Nothing herein shall be construed to prevent disclosure of Confidential Information as may be required by applicable law or regulation, or pursuant to the valid order of a court of competent jurisdiction or an authorized government agency, provided that the disclosure does not exceed the extent of disclosure required by such law, regulation, or order. Receiving Party agrees to provide written notice of any such order to an authorized officer of the Disclosing Party within 3 business days of receiving such order, but in any event sufficiently in advance of making any disclosure to permit the Disclosing Party to contest the order or seek confidentiality protections, as determined in the Disclosing Party's sole discretion.

10. Termination.

This Agreement shall terminate at the expiration of its non-renewed Term. Either Party may immediately terminate this Agreement at any time in the event that:

10.1. In the event of a material breach of this Agreement.

10.2 A receiver is appointed to the non-terminating Party or its property;

10.3. The non-terminating Party becomes insolvent or unable to pay its debts as they mature or ceases to pay its debts as they mature in the ordinary course of business or makes an assignment for the benefit of its creditors;

10.4. Any voluntary proceedings are commenced by or for non-terminating Party under any bankruptcy, insolvency or debtor's relief law; or

10.5. Any proceedings are commenced against non-terminating Party under any bankruptcy, insolvency or debtor's relief law and such proceedings are not vacated or set aside within thirty (30) days from the date of commencement thereof.

10.6. WeKall may immediately terminate this Agreement if the Client fails to pay any Fee due under this Agreement.

11. Open Source.

The WeKall PBX in one or more of its components, may contain open-source licenses based on GPL, LGPL AND AGPL. The terms and conditions of each of the open-source licenses mentioned are available online at the following links: https://www.gnu.org/licenses/gpl-3.0.en.html (GPL); https://www.gnu.org/licenses/lgpl-3.0.en.html (LGPL); and https://www.gnu.org/licenses/agpl-3.0.html (AGPL).

12. Support.

In case of malfunctions in the contracted service(s) and/or in case of concerns, the Client, regardless of the service and support plan chosen and described in the SOF, will have access to the WeKall knowledge base and technical support FAQs available at https://support.wekall.co/support/solutions/folders/27000059964.    

WeKall will provide remote support service pursuant to the conditions set forth in the SOF as follows: In case of failures or malfunctions in any component of the WeKall PBX, the Client may report them through the WeKall support portal available at https://support.wekall.co/support/solutions/27000036947, or the technical support chat available at www.wekall.co, or the support telephone (+57 601 7430201 or +57 602 4864645), to describe the problem in detail and make a preliminary diagnosis which will be solved according to the qualification parameters of the request, which will determine the time of attention and response pursuant to the WeKall SLA terms.

12.1. Support Requests. Requests for remote support elevated by the Client via web port, chat or telephone will be received only through the members of the Client’s technology department.

12.2. Support Care – Response Terms. In accordance with the provisions of this Section,   WeKall’s service operation model will be provided to the Client.

12.3. Pre-Essential Support. In person support service is not included within the scope of the . Therefore, any face-to-face support service requested by THE CLIENT will be billed by WEKALL completely independently of the services contracted in this contract. The value of the additional face-to-face support services will be negotiated in agreement with THE CLIENT.

12.4. Equipment Loan. WeKall will NOT provide the Client with equipment as a loan, except for cases in which the services include the rental of equipment as appropriate and in accordance with the provisions of the terms and conditions of the services contracted and available in wekall.co/legal.

13. Ownership Rights.

Except as otherwise provided in this Agreement, this Agreement does not grant either party any rights, implied or otherwise, in the ownership of the information, content or any part of the other's intellectual property. As set forth by the parties, the Client owns all the intellectual property rights of the Client data, and WeKall and the Third Party providers, as applicable, own all the intellectual property rights of the WeKall PBX and the Services.

13.1. All rights, titles and interests in the Wekall PBX, including intellectual property rights, shall remain the property of WeKall and/or the Third Party/supplier, and belong exclusively to WeKall and/or the Third Party/supplier as applicable;

13.2. The Client may not, nor will it request or allow third parties:

13.2.1. Remove or modify the trademarks of any program or the notices referring to the property rights of WeKall and/or the Third Party/provider;

13.2.2. Make the programs or materials derived from the WeKall PBX (with the exception of their content and applications) available to third parties in any way for use in the third party's business operations (unless such access is expressly permitted by WeKall and/or the Third Party /provider);

13.3. By accepting this Agreement, the Client agrees to grant WeKall and the Third Party/provider a royalty-free, worldwide, limited, non-assignable, non-sublicensable right and license to copy, duplicate, transmit, process, and use their data and content solely for the purpose of providing the WeKall PBX service as a software. This authorization allows WeKall and the Third Party/provider to use the Client's data and content without any additional fees or restrictions.;

13.4. WeKall do not make any guarantees regarding the content provided by the Client. This includes, but is not limited to, the accuracy, completeness, merchantability, fitness for a specific purpose, or non-infringement of any intellectual property rights or other rights of third parties or entities such as trademarks, patents, and copyrights.

13.5. WeKall will make all reasonable technical, administrative and commercial efforts  to guarantee the confidentiality of the content and data of the Client. WeKall will not be liable to the Client in the event that third parties have access to the content or data of the Client when the latter has provided such access.

14. Intellectual Property Rights.

WeKall’s products and/or services, including but not limited to WeKall PBX, and its logos or designs are registered trademarks owned by WEKALL S.A.S. BIC, a Colombian company and affiliate of WeKall. All information, materials, and systems pertaining to the design and operation of WeKall PBX and any other products or services offered by WeKall, as well as any materials developed by WeKall to provide such services, such as formats, configurations, computer programs, text, programming codes, graphic elements, logos, images, illustrations, photographs, sound, videos, data, information, or HTML/XML text, found on the "wekall.co" website or servers of WeKall, including industrial secrets, know-how, methodology, and processes related to WeKall and other services, are the exclusive property of WeKall. This includes all copyrights, trademarks, patents, designs and drawings, industrial secrets, and any other industrial or intellectual property rights inherent to WeKall Materials. The client is not permitted to use or benefit from WeKall Materials unless there is a written agreement executed by both parties on such terms.

15. Assignment.

Neither party may assign any of its rights or obligations hereunder, whether by operation of law or otherwise, without the other party’s prior written consent (not to be unreasonably withheld); provided, however, either party may assign this Agreement in its entirety (including all SOFs), without the other party’s consent to its Affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any attempted assignment in violation of this section will be null and void.

16. Warranty.

The WeKall PBX license and the Services will be provided pursuant to the terms set forth in this Agreement and the SOF. WeKall warrants that the WeKall PBX and the Services will perform in all material respects in accordance with the Documentation. WeKall cannot guarantee that the features of the WeKall PBX meet any specific requirements of the Client that are not outlined in this Agreement, the SOF, and the Documentation. WeKall does not guarantee that the operation of WeKall PBX will be uninterrupted or error-free and therefore disclaims any liability arising therefrom, provided that WeKall PBX shall have a minimum availability of 99.5%.

Unless otherwise stated to the contrary in this Agreement, WeKall cannot guarantee that the WeKall PBX will meet the necessary requirements, standards, laws, or regulations set by licensing agencies of any country. This includes the laws of any government or international regulations.

EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, AND ALL SUCH WARRANTIES ARE HEREBY DISCLAIMED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

17. Limited Liability.

17.1. SUBJECT TO APPLICABLE LAW AND NOTWITHSTANDING ANYTHING ELSE IN THIS AGREEMENT, IN NO EVENT WILL EITHER PARTY BE LIABLE FOR SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION DOWNTIME COSTS, LOSS OF DATA, RESTORATION COSTS, LOST PROFITS, OR COST OF COVER) REGARDLESS OF WHETHER SUCH CLAIMS ARE BASED ON CONTRACT, TORT, WARRANTY OR ANY OTHER LEGAL THEORY.

17.2. EXCEPT FOR AN ACTION BROUGHT FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, DATA CLAIMS OR IP CLAIMS, EACH PARTY’S AGGREGATE LIABILITY AND THAT OF ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS, UNDER THIS AGREEMENT WILL NOT EXCEED THE FEES RECEIVED BY OR PAYABLE TO WEKALL IN THE TWELVE MONTHS PRECEDING THE CLAIM (“THE GENERAL LIABILITY CAP”).

17.3. IN THE CASE OF IP CLAIMS AND DATA CLAIMS, WEKALL AND ITS AFFILIATES’ TOTAL LIABILITY TO THE CLIENT AND ITS AFFILIATES FOR ALL SUCH CLAIMS IN THE AGGREGATE (FOR DAMAGES OR LIABILITY OF ANY TYPE) WILL NOT EXCEED TWO TIMES (2X) THE GENERAL LIABILITY CAP (“SUPERCAP”).

17.4. IN NO EVENT WILL EITHER PARTY (OR ITS RESPECTIVE AFFILIATES) BE LIABLE FOR THE SAME EVENT UNDER BOTH THE GENERAL LIABILITY CAP AND THE SUPERCAP. SIMILARLY, THE FOREGOING CAPS WILL NOT BE CUMULATIVE; IF A PARTY (AND/OR ITS AFFILIATES) HAS ONE OR MORE CLAIMS SUBJECT TO EACH OF THOSE CAPS, THE MAXIMUM TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE APPLICABLE CAP.

17.5. THE PARTIES AGREE THAT THIS SECTION 17 WILL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE AND WILL APPLY EVEN IF ANY LIMITED REMEDY SPECIFIED IN THIS AGREEMENT IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. THE APPLICABLE MONETARY CAPS SET FORTH IN THIS SECTION WILL APPLY ACROSS THIS AGREEMENT AND ANY AND ALL SEPARATE AGREEMENT(S) ON AN AGGREGATED BASIS, WITHOUT REGARD TO WHETHER ANY INDIVIDUAL CLIENT AFFILIATES HAVE EXECUTED A SEPARATE SOF.

18. Exclusion of Liability.

18.1. WeKall obligations are strictly limited to providing the WeKall PBX license and the Service pursuant to the terms set forth in this Agreement and the SOF. WeKall cannot be held responsible for any delays in implementing and configuring the WeKall PBX if the Client does not have the necessary infrastructure as per the Software Requirements. This includes the setup and regular operation of the system. This does not affect the Client's obligation to meet these requirements, even if a third party is responsible. Furthermore, if the Client fails to fulfill any of their obligations related to the contracted services, WeKall will not be held responsible. Additionally: a) Any additional services requested outside of the scope of the SOF or for any component not included in the same will be billed separately from this Agreement's execution; b) WeKall will NOT be responsible for any type of violation suffered by the security or any component of the technological infrastructure of the Client by third parties for fraudulent practices or cause any type of damage to it. Therefore, It is the sole and exclusive responsibility of the client to take all necessary measures and precautions to ensure the security of their technological infrastructure; c) WeKall cannot be held responsible for any damages caused by the Client’s personnel or any third parties due to fraudulent practices, configurations, interventions, or violations that affect the client's technological infrastructure in any way; and d) The Client acknowledges  that  WeKall does not control the transfer of data through communications systems, including the internet, and that the services may be subject to limitations, delays and other problems inherent in the use of such communications systems. WeKall cannot be held responsible for delays, failures, or other damages resulting from such problems. WeKall cannot be held responsible for problems related to the performance, operation or security of services arising from the content of Third Party/supplier applications. WeKall makes no representations or warranties regarding the reliability, accuracy, completeness, correctness or usefulness of Third Party/supplier content, and assumes no liability arising under or as a consequence of Third Party/supplier content.

18.2. Being WeKall exempt from liability for the implementation and configuration delays of the WeKall PBX within the term stated in the Kickoff, the Client is still obligated to make payments as outlined in this Agreement. Payment terms may be altered only with written agreement from both parties.

19. Structure of this Agreement.

19..1 This Agreement consists of (i) this document, (ii) any Service Order Form, and (iii) any document referenced herein.

19.2. This Agreement and the Service Order Form shall be signed by WeKall’s CEO and the Client’s CEO.

19.3. For the avoidance of doubt, the conditions set forth in the Service Order Forms are incorporated into and form part of the operative provisions of this Agreement.

19.4. If a Service Order Form applies, each Service Order Form shall be treated as if it was automatically incorporated and shall be governed by this document as if the provisions of this document are explicitly and unambiguously set forth in the Service Order Form.

19.5. To the extent of any inconsistency between an express term of this Agreement and the provisions of the Service Order Form, the express term of the Service Order Form shall prevail to the extent of such inconsistency.

20. Anti-Money Laundering.

The Parties acknowledge their obligation to comply with all applicable anti-money laundering (AML) laws, regulations, and guidelines of the United States and the State of Florida. Both Parties affirm their commitment to preventing their business relationship from being used for illicit financial activities, including money laundering and terrorist financing. In pursuit of AML compliance, the Parties undertake the following: (a) Customer Due Diligence (CDD): Each Party shall conduct thorough customer due diligence procedures to verify the identity of its customers or counterparties. This includes obtaining and maintaining accurate identification records, understanding the nature of the business relationship, and assessing the potential risks associated with the relationship; (b) Reporting of Suspicious Activities: If either Party becomes aware of any transactions, behavior, or activities that could indicate money laundering, terrorist financing, or other illicit financial conduct under AML laws, that Party shall promptly report such suspicions to the appropriate law enforcement and regulatory authorities as mandated by law; (c) Record Keeping: Both Parties shall maintain comprehensive records of transactions, communications, and customer due diligence measures as required by AML laws. These records shall be retained for the duration specified by relevant laws; (d) Training and Awareness: Both Parties shall ensure that their employees receive appropriate training on AML laws, regulations, and internal policies. This training shall enable employees to recognize potential money laundering risks, apply due diligence, and respond effectively to suspicious activities; (e) Zero-Tolerance Policy: Both Parties unequivocally adopt a zero-tolerance stance toward money laundering, terrorist financing, and related criminal activities. Any suspicions or indications of such activities shall be treated seriously, investigated thoroughly, and reported promptly to the appropriate authorities; (f) Cooperation with Authorities: If either Party is required by law enforcement or regulatory authorities to provide information related to potential money laundering or suspicious activities, that Party shall fully cooperate and provide the requested information and assistance; (g) Termination for Cause: If either Party has reasonable grounds to believe that the other Party is engaged in money laundering, terrorist financing, or other unlawful financial activities, the Party may terminate the business relationship and shall report such concerns to the relevant authorities; (h) Review and Enhancement: Both Parties shall periodically review and enhance their AML policies, procedures, and controls to ensure compliance with evolving AML laws and regulations within the State of Florida.

This AML Section aims to establish a framework for robust AML compliance and cooperation between the Parties, as required by Florida law. However, the Parties acknowledge that specific AML requirements may vary based on the nature of their business, the industry, and evolving legal standards. They agree to seek legal advice to ensure ongoing compliance with AML laws and regulations in Florida.

21. Malware Warranty.

WeKall warrants that the Services hosted by WeKall will be monitored using commercially available means to attempt to detect and prevent the introduction of any computer instructions, circuitry or other technology means whose purpose or effect is to disrupt, damage or interfere with the authorized use of, or allow access to, the computer and communications facilities or equipment of WeKall or the Client, including, without limitation, any code containing viruses, Trojan horses, worms, backdoors, trap doors, time-out devices or similar destructive or harmful code or code that self-replicates (collectively, “Malicious Software”).

22. Indemnification.

22.1. Indemnification by WeKall. WeKall will defend the Client and its Affiliates, from any third party claim alleging that the Client’s use of the WeKall Technology as contemplated hereunder infringes such third party’s patent, copyright and/or trademark intellectual property rights (an “IP Claim”), and will indemnify and hold harmless The Client and its Affiliates from and against any damages and costs awarded against The Client or its Affiliates, or agreed in settlement by WeKall (including reasonable attorneys’ fees) resulting from such IP Claim. WeKall will have no liability or obligation with respect to any IP Claim if such claim is caused in whole or in part by (i) unauthorized use of the WeKall Technology by the Client, its Affiliates or Authorized Users; (ii) modification of the WeKall Technology by anyone other than WeKall or its representatives; (iii) or the combination, operation or use of the WeKall Technology with other data, hardware or software not provided by WeKall. If the Client’s use of the WeKall Technology results (or in WeKall’s opinion is likely to result) in an IP Claim, WeKall may at its own option and expense (a) procure for the Client the right to continue using the foregoing items as set forth hereunder; (b) replace or modify them to make them non-infringing; or (c) if options (a) or (b) are not commercially reasonably as determined by WeKall, then either the Client or WeKall may terminate this Agreement, whereupon WeKall will refund the Client, on a pro-rated basis, any Fees the Client has previously paid WeKall for the corresponding unused portion of the WeKall PBX or Services. The sections above state WeKall’s entire liability and the Client’s exclusive remedy with respect to an IP Claim.

22.2. Indemnification by The Client. The Client will defend WeKall and its Affiliates from any third party claim (“Claim”), and will indemnify and hold harmless WeKall and its Affiliates from and against any damages and costs awarded against WeKall and its Affiliates, or agreed in settlement by the Client (including reasonable attorneys’ fees) resulting from such Claim, to the extent caused by: (i) The Client’s or its Affiliate’s unauthorized supply, disclosure, or processing of the Client Data, including Personal Data therein, (ii) The Client’s or its Affiliate’s violation of laws applicable to the Client’s or its Affiliate’s business.

22.3. Indemnification Procedures. In the event of a potential indemnity obligation under this Section 22, the indemnified party will: (i) promptly notify the indemnifying party in writing of the claim, (ii) allow the indemnifying party the right to control the investigation, defense and settlement (if applicable) of such claim at the indemnifying party’s sole cost and expense, and (iii) upon request of the indemnifying party, provide all necessary cooperation at the indemnifying party’s expense. Failure by the indemnified party to notify the indemnifying party of a claim under this section will not relieve the indemnifying party of its obligations under this Section, however, the indemnifying party will not be liable for any litigation expenses that the indemnified party incurred prior to the time when notice is given or for any damages and/or costs resulting from any material prejudice caused by the delay or failure to provide notice to the indemnifying party in accordance with this section. The indemnifying party may not settle any claim that would bind the indemnified party to any obligation (other than payment covered by the indemnifying party or ceasing to use infringing materials) or require any admission of fault by the indemnified party, without the indemnified party’s prior written consent, such consent not to be unreasonably withheld, conditioned or delayed. Any indemnification obligation under this Section 22 will not apply if the indemnified party settles or makes any admission with respect to a claim without the indemnifying party’s prior written consent.

23. Early Termination.

In the event that the Client wishes to terminate without cause this Agreement prior to its designated expiration date, the Client shall be obligated to pay an early termination fee amounting to 60% of the remaining contract value (the “Termination Fee”). The calculation of this fee encompasses both the costs associated with setup, provisioning, and maintenance of the PBX software as a service on the cloud, as well as the anticipated lost profits that would have been accrued over the remaining term of the Agreement.

The early Termination Fee shall be due and payable within five (5) days from the effective date of termination. This fee is intended to fairly compensate WeKall for the financial impact resulting from the premature termination and the ensuing loss of anticipated revenue.

Upon the effective date of early termination, the Client's access to the WeKall PBX and associated services shall cease. When applicable, the Client shall be responsible for promptly requesting the call recordings within the term stated in this Agreement for such purpose, prior to termination.

24. Governing Law; Forum; Trial.

This agreement shall be deemed to have been made in the state of Florida, united states (“U.S.A.”) and shall be construed according to the laws of the state of Florida, U.S.A., without regard to conflict of law principles. The parties hereby irrevocably consent and waive any objection to the jurisdiction and propriety and convenience of venue of any court of general jurisdiction located within the Miami-Dade County in the state of Florida, U.S.A. With respect to any legal proceedings arising out of or related to this Agreement, the relationship between the Parties, any termination of the same or any transaction between the Parties. Each Party shall bring any legal proceeding arising out of or related to this Agreement, the relationship between the parties, termination of the same or any transaction between the parties, only in the federal or state courts located in the Miami-Dade County in the state of Florida, U.S.A. In the event any party institute any legal proceedings in any other court other than those specified above, it shall assume all of the other party' costs in connection therewith, including, but not limited to, all attorneys' and paralegals' fees, court costs, and such assumption of responsibility for any party’s costs shall not constitute a waiver by that party of the governing law and venue agreed to herein. Nothing herein shall affect the right to serve process in any other manner permitted by law or limit the right of any party to bring proceedings against any other party in the courts of any other jurisdiction. The provisions of this section 24 of this Agreement shall constitute an express waiver of all laws and regulations of the country of Client’s origin or headquarters.  

To the fullest extent permitted by applicable law, each of the Party hereby waives such Party’s rights to a jury trial of any claim or cause of action based upon or arising out of this Agreement and all other documents or transactions and any other dealings between the parties relating to the subject matter hereof or thereof. Each party also waives any bond or surety or security upon such bond which might, but for this waiver, be required. The scope of this waiver is intended to be all-encompassing of any and all disputes that may be filed in any court and that relate to the subject matter of this Agreement, including without limitation, contract claims, tort claims, breach of duty claims, and all other common law and statutory claims. Each Party acknowledges that this waiver is a material inducement to the other Parties’ decision to enter into this Agreement, that each Party has already relied on the waiver in entering into this Agreement and all other documents or transactions and any other dealings between the Parties relating to the subject matter hereof or thereof and that each party will continue to rely on the waiver in their related future dealings. Each Party further warrants and represents that such party had reasonable opportunity to review this waiver with such Party’s legal counsel, and that such Party knowingly and voluntarily waives such party’s jury trial rights following consultation with legal counsel. This waiver is irrevocable, meaning that it may not be modified either orally or in writing, and that this waiver shall apply to any subsequent amendments, renewals, supplements, or modifications to this agreement and all other documents or transactions and any other dealings between the Parties relating to the subject matter hereof or thereof. In the event of litigation, this Agreement may be filed as a written consent to a trial by the court.

25. Notices

Any notice required or permitted hereunder shall be given in writing (unless otherwise specified herein) addressed to the other Party at the address set forth in the preamble of this Agreement (subject to notice of change described below) and shall be deemed effectively given on the earliest of (a) the date delivered, if delivered by personal delivery as against written receipt therefor or by confirmed or acknowledged facsimile or e-mail transmission, (b) the tenth (10th) calendar day (provided such day is a business day in the country or state of the receiving party or, if it is not, the next such calendar day which is a business day there) after deposit, postage prepaid, in the postal service of the United States (for notices sent by WeKall) or of the country of residence of the Client (for notices sent by the Client) by registered or certified mail (or equivalent service) , or (c) the fifth (5th) calendar day (provided such day is a business day in the country or state of the receiving party or, if it is not, the next such calendar day which is a business day there) after mailing by an internationally recognized express courier, with delivery costs and fees prepaid, in each case addressed to the Chief Executive Officer of the recipient. Each of the Parties shall separately keep the other Party informed of the current mailing address and other contact information of such officer, which information may be changed from time to time by notice similarly given.

26. Miscellaneous

26.1. No failure, delay of forbearance of any Party in exercising any power or right hereunder shall in any way restrict or diminish such Party's rights and powers under this Agreement, or operate as a waiver of any breach or nonperformance by any Party of any terms of conditions hereof.

26.2. In the event it shall be determined under any applicable law that a certain provision set forth in this Agreement is invalid or unenforceable, such determination shall not affect the remaining provisions of this Agreement.

26.3. The preamble and documents referenced in this Agreement constitute an integral and indivisible part hereof.

26.4. This Agreement constitutes the entire understanding and agreement between the Parties hereto with respect to, and supersedes any and all prior discussions, agreements and correspondence with regard to, the subject matter hereof, and may not be amended, modified or supplemented in any respect, except by a subsequent writing executed by both Parties hereto.

26.5. This Agreement shall inure to the benefit of and be binding upon each of the Parties and their respective successors and assigns.

26.6. All pronouns and any variations thereof refer to the masculine, feminine or neuter, singular or plural, as the context may require.

26.7. This Agreement may be signed in one or more counterparts, each of which shall be deemed an original. A facsimile or other electronic transmission of this signed Agreement shall be legal and binding on all Parties hereto.

26.8. The headings of this Agreement are for convenience of reference and shall not form part of, or affect the interpretation of, this Agreement.

26.9. Notwithstanding any provision of this Agreement, the terms of Section 9 (Confidentiality), Section 10 (Termination), Section 13 (Ownership Rights), Section 14 (Intellectual Property Rights), Section 17 (Limited Liability), Section 18 (Exclusion of Liability), Section 22 (Indemnification), Section 23 (Early Termination), and Section 25 (Notices) shall survive any termination of this Agreement.  In addition, all accrued and unpaid charges for the WeKall PBX license and Services shall be due and payable to WeKall by the Client upon termination of this Agreement. Termination of this Agreement under Sections 10 and 23 or otherwise shall have no effect on the respective obligations to make any payment required to be made pursuant to the terms of this Agreement or any other obligation hereunder that has accrued (and not been discharged) prior to the termination of this Agreement.  

26.10. Each Party shall neither take, nor cause to be taken, any action that would result in a violation of the U.S. Foreign Corrupt Practices Act of 1977, as amended, or the rules and regulations thereunder, or any similar laws or regulations.

26.11. The English language version of this Agreement shall be controlling in all respects, irrespective of whether another translation is or shall be made hereof.  Further, all correspondence, notices, demands and other writings between the Party shall be in English.

26.12  Unless otherwise agreed to by the Parties or required by law, order of a court of competent jurisdiction or the rules and regulations of any governmental authority, each Party hereto agrees that the terms of this Agreement, or any information or documentation related to the negotiations of this Agreement, are strictly confidential and should not be disclosed in whole or in part to any third party other than the Parties' legal counsel, financial and other advisors (i) who need to know such information in connection with the Services contemplated hereby, (ii) who are informed by the relevant Party of the confidential nature of such information, and (iii) who agree to be bound by the terms of this confidentiality provision. The term of this paragraph shall survive the expiration or termination of this Agreement.
